This Purchase Order is issued by Alborz Industrial Development Co., Ltd. to engage the services of Lawyer Dr. Fatemeh Mohammadi and her firm for the provision of comprehensive legal counsel and representation. The scope of services under this Purchase Order is as follows:

All payments under this Purchase Order shall be made in Iranian Rial (IRR) via bank transfer to the account designated by the Lawyer’s firm. For international transactions, equivalent amounts in US Dollars (USD) may be settled through approved Iranian banking channels in compliance with the Central Bank of Iran regulations.
Payment for Item 1 shall be due within 15 business days of delivery of the final drafted agreement. Payment for Item 2 shall be structured as 40% upon engagement, 30% upon the first court hearing, and 30% upon final judgment or settlement.
Monthly advisory fees (Item 4) shall be invoiced on the first business day of each month and are payable within 10 business days of invoice receipt.
A late payment penalty of 0.5% per day shall apply to any overdue amounts, in accordance with standard commercial practice in Tehran.
All fees are exclusive of applicable Value Added Tax (VAT) and court filing fees, which shall be borne by the Buyer as a separate line item.

This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Islamic Republic of Iran, specifically the Iranian Civil Code, the Commercial Code, and the Code of Civil Procedure as applicable in the jurisdiction of Tehran.
The Lawyer shall maintain strict professional confidentiality in accordance with the Code of Ethics of the Tehran Bar Association. All documents, trade secrets, and proprietary information shared with the Lawyer under this Purchase Order shall not be disclosed to any third party without the written consent of the Buyer.
The Lawyer warrants that all legal opinions, drafts, and representations provided under this Purchase Order shall be performed with the degree of skill, care, and diligence expected of a qualified Advocate registered with the Tehran Bar Association.
Any dispute arising from or in connection with this Purchase Order shall be resolved through the competent courts of Tehran, Iran. The parties agree to the exclusive jurisdiction of the Tehran Commercial Court for all matters related to this engagement.
Either party may terminate this Purchase Order with 30 days’ written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified herein.
The Lawyer shall not be held liable for any adverse court outcome; however, the Lawyer shall be liable for damages arising from gross negligence or willful misconduct in the performance of duties under this Purchase Order.
This Purchase Order constitutes the entire agreement between the parties regarding the engagement of legal services and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter hereof.
Any amendments to this Purchase Order must be made in writing and signed by both the authorized representative of the Buyer and the Lawyer.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Lawyer’s professional legal services in Tehran, Iran.
