Description of Purchase — Legal ServicesThis Purchase Order is issued by Al-Rafidain Commercial Holdings LLC (hereinafter referred to as the "Buyer") to formally engage the services of Dr. Layla H. Al-Samarraie (hereinafter referred to as the "Lawyer" or "Legal Counsel") for the provision of comprehensive legal advisory and representation services within the jurisdiction of Iraq Baghdad. The Lawyer shall act as the Buyer's retained legal counsel for the matters described below, in accordance with the Iraqi Civil Code, the Iraqi Commercial Code, and all applicable regulations enforced by the Baghdad Bar Association and the Ministry of Justice of the Republic of Iraq.

- This Purchase Order constitutes a binding agreement between the Buyer and the Lawyer upon signature by both parties. All services shall be rendered in accordance with the professional standards set by the Iraqi Bar Association and the ethical code governing legal practice in Iraq Baghdad.
- The Lawyer shall maintain strict confidentiality regarding all documents, trade secrets, and business information disclosed by the Buyer. Any breach of confidentiality shall render the Lawyer liable for damages under Article 492 of the Iraqi Civil Code.
- Payment shall be made in Iraqi Dinar (IQD) via bank transfer to the account designated by the Lawyer. Invoices must be submitted within five (5) business days of the completion of each service milestone. The Buyer shall remit payment within thirty (30) calendar days of invoice receipt.
- The Lawyer is required to provide written progress reports to the Buyer on a bi-weekly basis for all ongoing matters. For urgent court appearances in Baghdad, the Lawyer shall notify the Buyer no less than forty-eight (48) hours in advance.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Baghdad, Iraq, or by arbitration under the rules of the Baghdad Arbitration Center, at the sole discretion of the Buyer.
- The Lawyer warrants that she holds a valid, active license to practice law in Iraq Baghdad and that no disciplinary proceedings are pending before the Iraqi Bar Association that would impair her ability to fulfill the obligations under this Purchase Order.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the date of termination, and the Lawyer shall return all confidential documents within seven (7) days.
- All communications related to this Purchase Order shall be conducted in Arabic or English. In the event of any discrepancy between the Arabic and English versions, the Arabic text shall prevail, consistent with standard legal practice in Iraq Baghdad.
- The Lawyer shall carry professional indemnity insurance with a minimum coverage of 50,000,000 IQD, valid for the duration of this engagement. A certificate of insurance shall be provided to the Buyer upon request.
- This Purchase Order may be amended only by a written addendum signed by both the Buyer and the Lawyer. No verbal modifications shall be considered valid or enforceable.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Lawyer's services in Iraq Baghdad. This document is executed in two (2) original copies, one for each party.
