This Purchase Order is issued by Sakura Holdings K.K. to formally engage the services of a qualified Lawyer, Ms. Yuki Watanabe of Watanabe & Associates Law Office, for the provision of comprehensive legal counsel and representation in Japan Tokyo. 3.1 Payment Terms: Payment for services rendered under this Purchase Order shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Lawyer. Invoices shall be issued monthly on the last business day of each calendar month. Payment is due within thirty (30) days of the invoice date. The Buyer shall remit funds to: Watanabe & Associates Law Office, Mizuho Bank, Marunouchi Branch, Account No. 123-456789-01.
3.2 Confidentiality: The Lawyer acknowledges that all information, documents, and data provided by the Buyer in connection with this Purchase Order are strictly confidential. The Lawyer shall not disclose any proprietary information of Sakura Holdings K.K. to any third party without prior written consent, in accordance with the professional ethical obligations set forth by the Tokyo Bar Association and the Japan Federation of Bar Associations.
3.3 Conflict of Interest: The Lawyer warrants that, at the time of executing this Purchase Order, there exists no conflict of interest that would impair the Lawyer's ability to represent the Buyer's interests in Japan Tokyo. The Lawyer shall promptly notify the Buyer in writing should any potential conflict arise during the engagement period.
3.4 Jurisdiction and Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tokyo District Court, Japan Tokyo. The parties agree to attempt mediation through the Tokyo Bar Association's dispute resolution mechanism before initiating formal litigation.
3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all documents and materials belonging to the Buyer within fourteen (14) days of termination.
3.6 Professional Standards: The Lawyer shall perform all services in accordance with the highest professional standards expected of a licensed Bengoshi (attorney-at-law) in Japan Tokyo, and in full compliance with the Attorney Act (Bengoshi-ho) and the Rules of Professional Conduct of the Japan Federation of Bar Associations.
Note: All legal filings, court appearances, and official communications related to this Purchase Order shall be conducted in the Japanese language, as required by the courts and administrative bodies in Japan Tokyo. The Lawyer shall provide English-language summaries of all major legal documents and court proceedings for the Buyer's internal records. All service of process and official notices shall be directed to the registered office of Watanabe & Associates Law Office in Chiyoda-ku, Tokyo.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Lawyer in Japan Tokyo. This Purchase Order becomes effective upon the signature of both authorized representatives.
