Terms and Conditions of This Purchase Order

1. This Purchase Order is issued by Al-Nour Business Consulting LLC, a company duly registered in Kuwait Kuwait City, and constitutes a binding request for the legal services described herein. The Lawyer and the firm of Al-Rashid & Partners Legal Firm shall perform all services in strict compliance with Kuwaiti law, the Kuwait Bar Association code of professional conduct, and all applicable regulations of the State of Kuwait.
2. The Lawyer engaged under this Purchase Order shall maintain full professional confidentiality regarding all company information, trade secrets, and legal strategies disclosed during the course of engagement. Any breach of confidentiality shall render the Lawyer liable for damages in accordance with Kuwaiti civil and commercial law.
3. All services shall be rendered at the offices of Al-Nour Business Consulting LLC located in Kuwait Kuwait City, or at such other location as mutually agreed upon in writing. The Lawyer shall be available for in-person consultations during standard business hours (Sunday through Thursday, 8:00 AM to 4:00 PM Kuwait Standard Time).
4. Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice from the Lawyer. Payment shall be processed via bank transfer to the account designated by Al-Rashid & Partners Legal Firm. All amounts are stated in Kuwaiti Dinars (KWD) and are inclusive of all applicable fees unless otherwise noted.
5. The Lawyer shall submit a detailed time-and-expense report at the end of each calendar month, itemizing all hours worked, court appearances, document preparation, and any out-of-pocket expenses incurred in connection with this Purchase Order. No additional fees shall be charged beyond the rates specified in this Purchase Order without prior written approval from the authorized signatory of Al-Nour Business Consulting LLC.
6. This Purchase Order is subject to the general terms and conditions of Al-Nour Business Consulting LLC and the specific engagement letter to be executed between the parties. In the event of any conflict between this Purchase Order and the engagement letter, the engagement letter shall prevail.
7. The Lawyer warrants that all legal opinions, documents, and representations provided under this Purchase Order shall be accurate, complete, and in full compliance with the laws of the State of Kuwait. The Lawyer shall carry adequate professional indemnity insurance coverage for the duration of the engagement.
8. Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and all company documents and records in the Lawyer's possession shall be returned within five (5) business days.
9. All disputes arising from or in connection with this Purchase Order shall be resolved through the competent courts of Kuwait Kuwait City, and the laws of the State of Kuwait shall govern this Purchase Order and any related agreements.
