The Lawyer identified above is duly registered and in good standing with the Barreau de Casablanca, the competent legal professional body governing the practice of law in the city of Casablanca, Morocco. All services rendered under this Purchase Order shall be performed in accordance with the professional ethics and deontological code of the Moroccan Bar.

This Purchase Order authorizes the engagement of the above-named Lawyer and legal team to provide comprehensive legal services to Atlas Industrial Holdings SARL. The scope of work, as negotiated and agreed upon, encompasses the following items:

All amounts are expressed in Moroccan Dirhams (MAD) and are exclusive of applicable Value Added Tax (TVA) at the rate of 20%, unless otherwise stated. The Lawyer shall issue a compliant fiscal invoice in accordance with the Moroccan General Tax Code (Code Général des Impôts).

Payment for the services described in this Purchase Order shall be made in accordance with the following schedule:

• Advance Payment: 30% of the total contract value (115,200.00 MAD) shall be paid within ten (10) business days of the execution of this Purchase Order, via bank transfer to the account of Cabinet Juridique Benjelloun & Associés at Bank of Africa (BMCE Bank), Casablanca branch.
• Progress Payments: 40% of the total (153,600.00 MAD) shall be payable in equal monthly installments over the first six (6) months of the engagement, due on the 5th business day of each month.
• Final Payment: The remaining 30% (115,200.00 MAD) shall be due within fifteen (15) business days following the successful completion and written acceptance of all deliverables under this Purchase Order.

All payments shall be made in Moroccan Dirhams (MAD) via interbank transfer. Late payments shall incur interest at the rate of 1.5% per month, in accordance with Article 231 of the Moroccan Code of Obligations and Contracts (Code des Obligations et des Contrats).

This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, including but not limited to the Moroccan Code of Obligations and Contracts, the Commercial Code, and the applicable provisions of the Law No. 64-15 relating to the legal profession (Loi relative à la profession d'avocat).

The Lawyer warrants that all services shall be performed with the diligence, competence, and professional standards expected of a member of the Barreau de Casablanca. The Lawyer shall maintain full professional confidentiality regarding all information, documents, and trade secrets disclosed by the Purchasing Entity in connection with this engagement, in strict compliance with Article 19 of the Law No. 64-15.

Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Casablanca. The parties agree to attempt amicable resolution through mediation before the Casablanca Mediation Center prior to initiating any formal legal proceedings.

This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of execution, unless terminated earlier by mutual written agreement or by either party providing sixty (60) days' written notice of termination.

• The Lawyer shall provide a written progress report to the Purchasing Entity on the 25th of each month detailing the status of all active matters under this Purchase Order.
• All court fees, expert witness costs, and third-party expenses incurred in Casablanca or elsewhere in Morocco in the course of representing the Purchasing Entity shall be billed separately with supporting documentation and are not included in the amounts stated above.
• The Lawyer shall not assign or subcontract any portion of the services under this Purchase Order without the prior written consent of the Purchasing Entity.
• This Purchase Order constitutes the entire agreement between the parties with respect to the legal services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
