2. Description of Services — Lawyer Engagement

This Purchase Order is issued by Northern Capital Holdings LLC (hereinafter referred to as the Purchaser) to formally engage the services of Lawyer Pyotr Mikhailovich Volkov and his legal team (hereinafter referred to as the Supplier or Lawyer) for the provision of comprehensive legal counsel and representation. The engagement is governed by the laws of the Russian Federation and is to be performed within the jurisdiction of Russia, Saint Petersburg. The Lawyer shall act as the Purchaser's retained legal advisor for the matters described below.

3. Terms and Conditions

Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved exclusively by the Arbitration Court of Saint Petersburg, Russia. The Lawyer acknowledges that all professional services shall be performed in compliance with the Federal Law "On Advocacy and the Advocacy System in the Russian Federation" (No. 63-FZ of 31 May 2002) and the Code of Professional Ethics of the Saint Petersburg Bar Association.
Scope of Lawyer's Obligations: The Lawyer shall provide all services with the degree of skill, care, and diligence expected of a qualified legal professional admitted to practice in Saint Petersburg, Russia. The Lawyer shall maintain professional liability insurance in a minimum amount of 5,000,000 RUB throughout the term of this Purchase Order.
Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, and business matters disclosed by the Purchaser in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years and is subject to the attorney-client privilege under Russian law.
Payment Schedule: Payment for services rendered under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. Invoices shall be issued monthly. Payment is due within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate of 0.1% per day as stipulated by Article 395 of the Civil Code of the Russian Federation.
Performance Period: The services described in this Purchase Order shall be performed commencing on 1 July 2025 and shall continue until 31 December 2025, unless terminated earlier in accordance with the terms herein. The Lawyer shall provide a written progress report to the Purchaser on the last business day of each month.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all Purchaser documents and materials within ten (10) business days of termination.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under Article 401 of the Civil Code of the Russian Federation, including but not limited to natural disasters, government sanctions, or acts of war affecting the Saint Petersburg, Russia region.
Anti-Corruption and Compliance: The Lawyer warrants that all services shall be performed in full compliance with Russian anti-corruption legislation, including Federal Law No. 273-FZ "On Combating Corruption." The Lawyer shall not accept or offer any improper benefits in connection with this Purchase Order.
Dispute Resolution: In the event of any dispute arising from or in connection with this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the Arbitration Court of Saint Petersburg, Russia for final and binding resolution.

4. Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Lawyer's professional legal services in Saint Petersburg, Russia. This Purchase Order supersedes all prior negotiations, representations, and agreements between the parties with respect to the subject matter herein.
