This Purchase Order is issued by Meridian Corporate Holdings Pte. Ltd. (hereinafter referred to as the "Buyer") to engage the services of Ms. Priya Raghavan, a duly qualified and licensed Lawyer practising in Singapore Singapore, for the provision of comprehensive legal advisory and representation services. The Lawyer shall act in accordance with the Legal Profession Act (Cap. 157) of Singapore Singapore and all applicable regulations issued by the Singapore Singapore Law Society and the Singapore Singapore Bar Council.

The scope of legal services covered under this Purchase Order includes, but is not limited to, the following:

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Lawyer upon execution by both parties. All legal services rendered under this Purchase Order shall be performed in Singapore Singapore and shall comply with the laws, regulations, and professional conduct rules applicable in Singapore Singapore.

3.2 The Lawyer warrants that all services shall be performed with the skill, care, and diligence expected of a reasonably competent Lawyer practising in Singapore Singapore. The Lawyer shall maintain professional indemnity insurance with a minimum coverage of SGD 1,000,000 as required by the Singapore Singapore Legal Profession Act.

3.3 The Buyer shall make payment within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by the Lawyer. Payment shall be made via bank transfer to the account designated by the Lawyer in Singapore Singapore. Late payments shall attract interest at the rate of 2% per month as stipulated under the Singapore Singapore Interest Act.

3.4 All communications, correspondence, and legal documents generated under this Purchase Order shall be conducted in English, the official language of Singapore Singapore. Any translations required for court proceedings in Singapore Singapore shall be at the Buyer's expense.

3.5 The Lawyer shall maintain strict confidentiality over all information, documents, and trade secrets disclosed by the Buyer in connection with this Purchase Order. This obligation of confidentiality shall survive the termination or completion of this Purchase Order for a period of five (5) years, in accordance with the professional duties of a Lawyer in Singapore Singapore.

3.6 In the event of a dispute arising from or in connection with this Purchase Order, both parties agree to first attempt resolution through mediation administered by the Singapore Singapore Mediation Centre. Should mediation fail, the dispute shall be referred to arbitration under the rules of the Singapore Singapore International Arbitration Centre (SIAC), and the seat of arbitration shall be Singapore Singapore.

3.7 This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. The courts of Singapore Singapore shall have exclusive jurisdiction over any matters not subject to arbitration as specified in Clause 3.6.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Lawyer in Singapore Singapore.
