1. Description of Legal Services Ordered

This Purchase Order is issued by Mediterráneo Corporate Holdings S.L. (hereinafter referred to as the “Client”) to engage the professional legal services of the Lawyer and legal team at Despacho Jurídico Ferrer & Asociados S.L.P. (hereinafter referred to as the “Lawyer” or “Legal Provider”) for the provision of comprehensive legal counsel, representation, and advisory services within the jurisdiction of Barcelona, Spain. The Lawyer shall act in accordance with the Spanish Lawyers’ Statute (Estatuto General de la Abogacía Española, Ley 2/2007) and the professional regulations of the Ilĺlustre Col·legi de l’Advocacia de Barcelona (ICAB).

2. Terms and Conditions

Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of Spain, specifically the Spanish Civil Code (Código Civil) and the Commercial Code (Código de Comercio). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, unless otherwise mandated by mandatory statutory provisions.
Professional Qualification of the Lawyer: The Lawyer and all associated legal professionals engaged under this Purchase Order must be duly registered with the Ilĺlustre Col·legi de l’Advocacia de Barcelona (ICAB) and hold a valid professional licence to practise law in Spain. The Lawyer shall maintain professional indemnity insurance in accordance with the requirements of the Spanish Lawyers’ Statute (Ley 2/2007, de 19 de marzo).
Confidentiality and Professional Secrecy: The Lawyer shall observe strict professional secrecy (secreto profesional) as mandated by Article 5 of the Estatuto General de la Abogacía Española. All information, documents, and data provided by the Client in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the Client, except where required by Spanish law or court order.
Scope of Engagement: The services described in Section 1 constitute the full scope of this Purchase Order. Any additional legal services requested by the Client beyond the described scope shall require a written amendment to this Purchase Order, signed by both parties, prior to the commencement of such additional work.
Payment and Invoicing: The Lawyer shall issue monthly invoices detailing the hours worked, the specific services rendered, and the applicable rates. Payment shall be made within thirty (30) calendar days of the invoice date via bank transfer to the account designated by the Lawyer. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004, de 29 de diciembre).
Service Location and Availability: All in-person consultations, meetings, and court appearances related to this Purchase Order shall take place in Barcelona, Spain. The Lawyer shall be available for consultations at the offices of Despacho Jurídico Ferrer & Asociados S.L.P. on Avinguda Diagonal, 655, Barcelona, during standard business hours (Monday to Friday, 09:00 to 18:00 CET), and shall provide remote availability via secure videoconference for urgent matters.
Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. Upon termination, the Client shall be liable for all services rendered and expenses incurred up to the effective date of termination. The Lawyer shall return all Client documents and data within fifteen (15) days of termination.
Compliance with Data Protection: The processing of any personal data in connection with this Purchase Order shall comply with the Spanish Organic Law on Data Protection and Guarantee of Digital Rights (LOPDGDD 3/2018) and the European General Data Protection Regulation (GDPR). The Lawyer shall act as a data processor on behalf of the Client and shall implement appropriate technical and organisational security measures.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions affecting the city of Barcelona, pandemics, or strikes, provided that the affected party notifies the other in writing within five (5) business days.
Entire Agreement: This Purchase Order, together with any written amendments thereto, constitutes the entire agreement between the parties regarding the engagement of the Lawyer for the services described herein and supersedes all prior negotiations, representations, and agreements relating to the subject matter of this Purchase Order.

3. Authorisation and Acceptance

By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order. The Client authorises the Lawyer to commence the legal services described herein, and the Lawyer accepts the engagement and commits to performing the services with the diligence, competence, and professional standards required under Spanish law and the ICAB Code of Ethics.
