- Scope and Jurisdiction: All legal services rendered under this Purchase Order shall be performed exclusively within the legal framework of Spain Valencia and the broader Kingdom of Spain. The Lawyer shall comply with all provisions of the Spanish Lawyers' Statute (Estatuto General de la Abogacía Española), the Code of Professional Conduct of the Ilustre Colegio de Abogados de Valencia, and all applicable regional regulations of the Comunitat Valenciana.
- Payment Terms: Payment of the total amount specified in this Purchase Order shall be made within thirty (30) calendar days from the date of receipt of the final invoice issued by the Lawyer. Payment shall be executed via bank transfer to the account designated by the Lawyer, with IBAN registered in Spain. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
- Confidentiality and Professional Secrecy: The Lawyer shall maintain strict professional secrecy (secreto profesional) in accordance with Article 5 of the Spanish Lawyers' Statute. All documents, communications, and information exchanged in connection with this Purchase Order shall be treated as confidential and shall not be disclosed to any third party without the prior written consent of Valencia Corporate Holdings S.L., except where required by a court order issued by a competent tribunal in Spain Valencia.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or shall arise during the term of this Purchase Order. The Lawyer shall immediately notify the purchasing entity in writing should any potential conflict of interest be identified in relation to any matter handled under this Purchase Order in Spain Valencia.
- Deliverables and Reporting: The Lawyer shall provide a written progress report to the purchasing entity on a bi-weekly basis. All legal opinions, drafted documents, and court filings shall be delivered in both Spanish and English where applicable, and shall be filed with the relevant courts, registries, or administrative bodies in Valencia within the statutory deadlines.
- Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) calendar days. In the event of termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress documents shall be handed over to the purchasing entity.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of the city of Valencia, Spain. The parties expressly waive any other jurisdiction. The applicable law shall be the law of Spain, with specific reference to the civil and commercial codes as applied in the region of Valencia.
- Professional Insurance: The Lawyer shall maintain valid professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of 300,000 EUR, as required by the Ilustre Colegio de Abogados de Valencia, for the entire duration of this Purchase Order.
- Validity of Purchase Order: This Purchase Order shall remain valid for a period of ninety (90) days from the date of issue. If the services have not been fully rendered within this period, the purchasing entity reserves the right to extend or cancel this Purchase Order at its sole discretion.
By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order for the engagement of the Lawyer in Spain Valencia. This document constitutes a binding agreement between the purchasing entity and the legal service provider.
