3.1 This Purchase Order constitutes a binding agreement between Meridian Corporate Services (Pvt) Ltd. (hereinafter "the Client") and the Lawyer identified in Section 2 (hereinafter "the Counsel") for the legal services described herein, to be performed in and around Sri Lanka Colombo.

3.2 The Lawyer shall maintain strict confidentiality regarding all client information, trade secrets, and legal strategies disclosed during the course of this engagement, in accordance with the professional ethics code of the Bar Association of Sri Lanka.

3.3 All legal opinions, drafts, and documents prepared by the Lawyer shall be delivered in both English and Sinhala/Tamil as required by the Client, and shall be submitted to the Client's General Counsel for review within five (5) business days of completion.

3.4 The Lawyer shall not represent any party adverse to the Client's interests in any matter related to the scope of this Purchase Order without prior written consent from the Client's Board of Directors.

3.5 Payment shall be made via bank transfer to the account designated by the Lawyer. Invoices must be submitted monthly or upon completion of each service item, whichever is earlier. Payment is due within thirty (30) days of receipt of a valid invoice bearing the appropriate VAT registration number.

3.6 The Lawyer shall comply with all applicable laws of Sri Lanka, including but not limited to the Legal Practitioners Act, the Companies Act, and regulations issued by the Bar Association of Sri Lanka, Colombo.

3.7 Any out-of-pocket expenses (court filing fees, stamp duty, travel within Sri Lanka Colombo, photocopying, and courier charges) shall be billed separately at actual cost with supporting receipts and are not included in the rates stated in Section 2.

3.8 This Purchase Order may be amended or terminated by mutual written agreement. In the event of termination, the Client shall pay for all services rendered up to the date of termination.

3.9 Disputes arising from this Purchase Order shall be resolved by arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act No. 11 of 1995. The seat of arbitration shall be Sri Lanka Colombo.

3.10 This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka.

Note: The Lawyer acknowledges that all services under this Purchase Order are to be rendered at the firm's office in Sri Lanka Colombo or at such other location in Colombo as mutually agreed. The Client reserves the right to request in-person consultations at its registered office on Galle Road, Colombo 03, Sri Lanka Colombo, with at least 48 hours' prior notice.

This Purchase Order is issued and authorised by the undersigned on behalf of Meridian Corporate Services (Pvt) Ltd. The Lawyer's acceptance of this Purchase Order shall be confirmed by signing and returning a copy of this document within seven (7) calendar days of receipt.
