1. Description of Purchase Order and Scope of Legal ServicesThis Purchase Order is issued by Anadolu Industrial Holdings A.S. (hereinafter referred to as the "Buyer") to engage the services of Dr. Elif Kaya, a licensed Lawyer registered with the Ankara Bar Association, for the provision of comprehensive legal counsel and representation in connection with the Buyer's ongoing commercial dispute and regulatory compliance matters. This Purchase Order constitutes a binding agreement for the procurement of professional legal services to be rendered in Ankara, Turkey, in accordance with the Turkish Code of Obligations (Türk Borçlar Kanunu) and the Turkish Bar Association Rules of Professional Conduct.
The Lawyer engaged under this Purchase Order shall provide the following specific services:

- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Ankara, Turkey. The Lawyer shall practice exclusively within the jurisdiction of the Ankara Bar Association and shall not delegate any substantive legal work to attorneys outside of Ankara without prior written consent from the Buyer.
- Payment Terms: The Buyer shall remit payment in Turkish Lira (TRY) via bank transfer to the account designated by the Lawyer. An initial payment of twenty-five percent (25%) of the total Purchase Order value shall be due upon execution of this document. The remaining balance shall be paid in monthly installments aligned with the service delivery schedule. All invoices issued by the Lawyer must reference this Purchase Order number (PO-ANK-2025-04782) and comply with the Turkish Accounting Law (6102 sayılı Türk Ticaret Kanunu) invoicing requirements.
- Professional Obligations of the Lawyer: The Lawyer shall maintain the highest standards of professional conduct as mandated by the Turkish Bar Association. The Lawyer shall act with due diligence, loyalty, and confidentiality in all matters pertaining to this Purchase Order. The Lawyer shall provide written progress reports to the Buyer no less than once per month and shall notify the Buyer within forty-eight (48) hours of any material development in the legal proceedings.
- Confidentiality and Data Protection: The Lawyer acknowledges that all documents, trade secrets, and proprietary information disclosed by the Buyer in connection with this Purchase Order are strictly confidential. The Lawyer shall comply with the Turkish Personal Data Protection Law (KVKK - Law No. 6698) in handling any personal data encountered during the course of the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination. The Lawyer shall return all original documents and files belonging to the Buyer within fifteen (15) days of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or court closures in Ankara, Turkey, provided that the affected party notifies the other within five (5) business days.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. The Lawyer shall immediately disclose any potential conflict to the Buyer in writing.
By signing below, both parties acknowledge that this Purchase Order has been reviewed, understood, and agreed upon in all respects. This document represents the complete and final agreement between the Buyer and the Lawyer regarding the procurement of legal services in Ankara, Turkey, and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
