This Purchase Order is issued by Anatolia Corporate Holdings A.S. to formally engage the services of Av. Selin Demirtaş and her associated legal team as the retained Lawyer for all corporate, commercial, and regulatory matters arising within the jurisdiction of Turkey Istanbul. The engagement is governed by the Turkish Code of Obligations (Türk Borçlar Kanunu, Law No. 6098) and the Turkish Bar Association Rules of Professional Conduct.

The Lawyer shall provide comprehensive legal representation and advisory services to the Purchasing Entity, including but not limited to the following scope of work as detailed in the service schedule below. All legal proceedings, filings, and court appearances shall be conducted within the Istanbul Provincial Courts, the Istanbul Court of Appeals (İstanbul Bölge Adliye Mahkemesi), and any relevant administrative tribunals located in Turkey Istanbul.

Payment for the services rendered under this Purchase Order shall be made in Turkish Lira (TRY) via bank transfer to the account of the Lawyer as specified in the engagement letter. The monthly retainer fee (Item 01) shall be invoiced on the first business day of each month and paid within fifteen (15) calendar days of invoice receipt. Per-case and per-document fees (Items 02, 03, 04, and 05) shall be invoiced upon completion of the respective service and settled within twenty (20) calendar days. All payments are subject to the withholding tax obligations prescribed by the Turkish Revenue Administration (Gelir İdaresi Başkanlığı) for professional services rendered in Turkey Istanbul.

6.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Lawyer upon signature by both parties. It shall be governed by and construed in accordance with the laws of the Republic of Turkey, with exclusive jurisdiction vested in the courts of Turkey Istanbul.

6.2 The Lawyer shall maintain full professional confidentiality in accordance with Article 36 of the Turkish Bar Association Rules and shall not disclose any proprietary or trade-secret information of the Purchasing Entity to any third party without prior written consent.

6.3 The Lawyer shall not represent any party in a matter that is directly adverse to the interests of the Purchasing Entity during the term of this engagement, in compliance with the conflict-of-interest provisions of the Istanbul Bar Association.

6.4 Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Lawyer shall deliver all files, documents, and correspondence to the Purchasing Entity within ten (10) business days.

6.5 All court fees, expert witness fees, translation costs, and other out-of-pocket expenses incurred in the course of legal proceedings in Turkey Istanbul shall be borne by the Purchasing Entity and reimbursed upon presentation of official receipts.

By signing below, both parties acknowledge that this Purchase Order for the engagement of a Lawyer in Turkey Istanbul has been reviewed, understood, and accepted in its entirety. This document is executed in two (2) original copies, one for each party.
