This Purchase Order is issued by Al Noor Corporate Services LLC (hereinafter referred to as the "Buyer") to engage the services of a qualified Lawyer and legal counsel provided by Al Rashid & Partners Legal Consultants (hereinafter referred to as the "Supplier") for the provision of comprehensive legal advisory and representation services within the jurisdiction of the United Arab Emirates Abu Dhabi. The Lawyer engaged under this Purchase Order shall provide the following scope of professional legal services:

Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law, the UAE Commercial Transactions Law, and all applicable regulations of the Abu Dhabi Judicial Department. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Arab Emirates Abu Dhabi.
Professional Qualification: The Lawyer and all associated legal professionals engaged under this Purchase Order must hold a valid practising license issued by the Abu Dhabi Courts and the UAE Ministry of Justice. The Supplier shall provide proof of professional indemnity insurance with a minimum coverage of AED 2,000,000 for the duration of the engagement.
Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Supplier. The Buyer shall remit payment via bank transfer to the Supplier's designated account in the United Arab Emirates Abu Dhabi. The monthly retainer fee (Item 06) shall be invoiced on the first business day of each month.
Confidentiality: The Lawyer and all members of the legal team shall maintain strict confidentiality regarding all information, documents, and matters disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
Scope Limitation: The services described in this Purchase Order are limited to the items enumerated in Section 1. Any additional legal work, court appearances, or advisory beyond the stated scope shall require a written amendment to this Purchase Order signed by both parties prior to commencement.
Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. Upon termination, the Buyer shall be liable for all services rendered up to the effective date of termination. The monthly retainer may be terminated with fifteen (15) days' notice.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or changes in UAE legislation affecting legal practice in Abu Dhabi.
Compliance: The Supplier warrants that all services shall be performed in full compliance with the UAE Anti-Money Laundering Law (Federal Decree-Law No. 20 of 2018) and all applicable regulations of the Abu Dhabi Financial Services Regulatory Authority where relevant.

The Lawyer shall commence services within five (5) business days of the acceptance of this Purchase Order. All legal documents, opinions, and filings shall be delivered to the Buyer's registered office in United Arab Emirates Abu Dhabi or via secure electronic transmission to the designated email address. Court appearances and hearings shall be conducted at the Abu Dhabi Courts of First Instance, Abu Dhabi Court of Appeal, or the Abu Dhabi Court of Cassination as applicable.
