Harwood of Harwood & Associates Solicitors LLP, is hereby commissioned to provide comprehensive legal counsel and representation in accordance with the scope of work detailed below.
The engagement of this Lawyer is necessitated by the Purchasing Entity's requirement for ongoing corporate legal advisory, contract negotiation support, and regulatory compliance review pertaining to its commercial operations based in the city of Birmingham, West Midlands, United Kingdom. The Lawyer shall act in strict accordance with the Solicitors Regulation Authority (SRA) rules and the Legal Services Act 2007 as applicable in the United Kingdom.

- 4.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Lawyer upon signature by both parties. All services shall be rendered in accordance with the professional standards expected of a solicitor practising in United Kingdom Birmingham.
- 4.2 The Lawyer shall maintain professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this engagement, as required by the SRA for all practising lawyers in the United Kingdom.
- 4.3 All work product, legal opinions, and documentation prepared by the Lawyer under this Purchase Order shall remain the exclusive property of the Purchasing Entity upon full payment of the invoiced amounts.
- 4.4 The Lawyer shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 when handling confidential client information.
- 4.5 Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- 4.6 The Lawyer shall provide a written progress report to the Purchasing Entity at the conclusion of each calendar month detailing hours expended, matters addressed, and anticipated future workload.
- 4.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination.
- 4.8 This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- 4.9 The Lawyer warrants that all advice and services provided shall be delivered with the skill, care, and diligence reasonably expected of a competent solicitor practising in the legal profession in the United Kingdom.
- 4.10 No variation to this Purchase Order shall be valid unless agreed in writing and signed by authorised representatives of both parties.
All services under this Purchase Order shall be primarily delivered from the offices of Harwood & Associates Solicitors LLP located at 45 New Street, Birmingham, B2 4HG, United Kingdom. The Lawyer shall be available for in-person consultations at the Purchasing Entity's premises at 12 Corporation Street, Birmingham, B4 6AA, United Kingdom, no fewer than two (2) times per month. Remote consultations via secure video conferencing are also permitted and shall be logged against the applicable hourly rate. The Lawyer acknowledges that all professional obligations under this Purchase Order are anchored to the legal jurisdiction of the United Kingdom, with Birmingham serving as the principal operational base for the engagement.
This Purchase Order is issued under the authority of the undersigned and is accepted by the Lawyer as a formal commission for legal services. By signing below, both parties confirm their agreement to the terms, conditions, scope of work, and financial obligations set forth in this document.
