This Purchase Order is issued by Thamesbridge Corporate Holdings Limited (hereinafter referred to as the "Purchaser") to Harwood, Ellison & Partners LLP (hereinafter referred to as the "Supplier") for the provision of professional legal services rendered by a qualified Lawyer practising in United Kingdom London. Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London. The Lawyer engaged under this Purchase Order shall practise in full compliance with the Solicitors Regulation Authority (SRA) rules applicable in United Kingdom London.
Scope of Engagement: The Lawyer and the Supplier firm shall provide all legal services as described in Section 3 of this Purchase Order. Any additional services beyond the scope outlined herein shall require a written amendment to this Purchase Order, signed by both parties, before commencement.
Professional Indemnity Insurance: The Supplier shall maintain professional indemnity insurance with a minimum cover of £5,000,000 per claim, as required by the SRA for all Lawyers practising in United Kingdom London. A certificate of insurance shall be provided to the Purchaser upon request.
Confidentiality and Data Protection: The Lawyer shall handle all client information in strict accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All documents and communications relating to this Purchase Order shall be treated as confidential and shall not be disclosed to any third party without the prior written consent of the Purchaser, except where required by law in United Kingdom London.
Payment Terms: Invoices issued by the Supplier under this Purchase Order shall be payable within thirty (30) calendar days of the date of invoice. Payment shall be made by electronic bank transfer to the Supplier's designated account in United Kingdom London. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Timeframes and Deliverables: The Lawyer shall complete all deliverables within the timeframes agreed upon in the engagement letter referenced by this Purchase Order. The estimated completion date for all services is 30 November 2025. Any delays attributable to the Purchaser shall extend the timeline proportionally.
Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. Upon termination, the Purchaser shall be liable for all services rendered up to the date of termination. The Lawyer shall return all Purchaser documents and materials within seven (7) days of the termination notice.
Complaints and Dispute Resolution: In the event of a complaint regarding the services provided by the Lawyer, the Purchaser shall first raise the matter with the Supplier in writing. If unresolved within twenty-one (21) days, the matter may be referred to the Legal Ombudsman or to mediation under the rules of the London Court of International Arbitration (LCIA) before any court proceedings are initiated in United Kingdom London.
Anti-Bribery and Compliance: The Supplier and the Lawyer warrant that all services provided under this Purchase Order shall comply with the UK Bribery Act 2010 and all applicable anti-money laundering regulations enforced in United Kingdom London.

By signing below, the Purchaser authorises this Purchase Order for the engagement of the specified Lawyer and legal services in United Kingdom London. The Supplier's signature constitutes acceptance of the terms, rates, and scope of work set forth herein.
