This Purchase Order is issued by Midwest Corporate Holdings, LLC (hereinafter referred to as the "Buyer") to engage the services of Harold J. Pemberton, Esq., a licensed Lawyer in the State of Illinois, United States Chicago (hereinafter referred to as the "Lawyer" or "Vendor"), for the provision of comprehensive legal counsel and representation. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Lawyer for the specific legal matters outlined below. The Lawyer shall perform all professional duties in accordance with the Illinois Rules of Professional Conduct, the Illinois Attorney Act (625 ILCS 45/), and all applicable federal and local regulations within the United States Chicago metropolitan area.

  1. Payment Schedule: The Buyer shall remit payment to the Lawyer within thirty (30) days of receipt of a valid invoice. Invoices shall be submitted monthly by the 5th business day of the following month. For Item 005 (retainer), payment shall be made in monthly installments on the 1st of each calendar month.
  2. Payment Method: All payments shall be made via wire transfer to the following account: Pemberton & Associates Legal Group, P.C., First Midwest Bank, Chicago, Illinois. Routing No. 071000013, Account No. [REDACTED].
  3. Late Payment: Overdue amounts shall accrue interest at a rate of 1.5% per month, in accordance with the Illinois Prompt Payment for Public Construction Act and general commercial practice in the United States Chicago business community.
  4. Taxes: All applicable federal, state (Illinois), and local (City of Chicago) taxes shall be added to the invoiced amount as required by law. The Lawyer is responsible for reporting and remitting all self-employment and professional liability taxes.
  5. Expenses: Out-of-pocket expenses incurred by the Lawyer (court filing fees in Cook County, expert witness fees, travel within the United States Chicago area, and document reproduction) shall be billed at cost with supporting receipts, subject to prior written approval by the Buyer for any single expense exceeding $500.00.
  1. Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the State of Illinois, United States, and the local ordinances of the City of Chicago. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Circuit Court of Cook County, United States Chicago, or, at the Buyer's election, resolved through binding arbitration administered by the American Arbitration Association (AAA) in Chicago, Illinois.
  2. Confidentiality: The Lawyer shall maintain strict confidentiality of all proprietary information, trade secrets, and business strategies disclosed by the Buyer in connection with this Purchase Order. This obligation shall survive the termination of this engagement for a period of five (5) years, consistent with the Illinois Confidentiality of Communications Act.
  3. Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise in connection with the services described in this Purchase Order. The Lawyer shall immediately notify the Buyer in writing should any potential conflict emerge during the term of this engagement.
  4. Professional Liability: The Lawyer shall maintain professional liability (legal malpractice) insurance with a minimum coverage of $2,000,000 per occurrence, issued by a carrier licensed to operate in the State of Illinois. A certificate of insurance shall be provided to the Buyer upon request.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered and expenses incurred through the effective date of termination. The retainer fee for Item 005 shall be prorated for the unused portion of the current month.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the United States Chicago area, acts of government, or pandemics, provided that the affected party gives prompt written notice.
  7. Entire Agreement: This Purchase Order, together with any written amendments signed by both parties, constitutes the entire agreement between the Buyer and the Lawyer regarding the subject matter herein and supersedes all prior negotiations, representations, and agreements.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. The Buyer authorizes the Lawyer to commence the legal services described herein effective as of the date of the last signature below. This Purchase Order is valid for a period of ninety (90) days from the date of issue, after which it shall expire unless renewed in writing.
