2. Description of Services — Lawyer Engagement

This Purchase Order is issued by Gulf Coast Industrial Holdings, LLC (hereinafter referred to as the "Buyer") to formally engage the legal services of Ashford, Brennan & Cole LLP (hereinafter referred to as the "Lawyer" or "Service Provider") for the provision of comprehensive legal counsel and representation. The Lawyer shall be engaged to represent the Buyer in all matters pertaining to commercial real estate transactions, regulatory compliance with the Texas Railroad Commission, and dispute resolution before the Harris County District Courts located in Houston, Texas, United States.

The scope of this Purchase Order encompasses the following specific legal services to be rendered by the designated Lawyer and their associated legal team:

3. Terms and Conditions

  1. Acceptance: This Purchase Order shall constitute a binding agreement upon written acceptance by the Lawyer. The Lawyer must return a signed copy of this Purchase Order to the Buyer within five (5) business days of receipt to confirm engagement.
  2. Scope Limitation: The Lawyer shall perform all services in accordance with the Texas Disciplinary Rules of Professional Conduct and the Rules of the Supreme Court of the United States. Any services outside the scope defined in Section 2 of this Purchase Order shall require a written amendment signed by both parties.
  3. Confidentiality: The Lawyer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies of the Buyer, in compliance with the attorney-client privilege as recognized under Texas law and the laws of the United States.
  4. Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. The Lawyer shall immediately notify the Buyer in writing should any potential conflict be identified.
  5. Payment Schedule: Invoices shall be submitted monthly on the last business day of each calendar month. Payment is due within thirty (30) days of the invoice date via wire transfer to the account designated by the Lawyer. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Texas Business and Commerce Code Section 2404.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all Buyer documents and files within ten (10) business days.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Houston, Texas, United States, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator shall be a licensed attorney in the State of Texas with a minimum of ten years of practice experience.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters affecting the Houston metropolitan area, acts of government, or pandemics declared by the United States government.
  9. Compliance: The Lawyer shall comply with all applicable federal, state, and local laws of the United States, the State of Texas, and the City of Houston in the performance of services under this Purchase Order, including but not limited to anti-money laundering regulations and the Sarbanes-Oxley Act of 2002.
  10. Insurance: The Lawyer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in the aggregate, naming the Buyer as an additional insured party throughout the term of this Purchase Order.
