1. This Purchase Order constitutes a binding agreement between Meridian Corporate Holdings, LLC (hereinafter referred to as the "Buyer") and Jonathan R. Whitfield, Esq., operating through Whitfield & Associates Legal Group (hereinafter referred to as the "Lawyer" or "Vendor"), for the provision of professional legal services as itemized above.
2. All legal services rendered under this Purchase Order shall be performed in full compliance with the Rules of Professional Conduct of the State Bar of California, the California Business and Professions Code, and all applicable federal laws of the United States of America. The Lawyer shall maintain active membership in good standing with the State Bar of California and shall hold a valid license to practice law in the State of California, with primary office located in the City of Los Angeles, United States.
3. The Lawyer shall provide written progress reports to the Buyer no less than bi-weekly, detailing hours expended, matters addressed, and anticipated timelines for each line item. All communications regarding this Purchase Order shall be conducted in English and shall reference Purchase Order No. PO-LA-2025-04872.
4. Payment shall be made via wire transfer to the bank account designated by the Lawyer, with a copy of the invoice attached to each remittance. Invoices must be submitted within five (5) business days of the completion of each service milestone. The Buyer reserves the right to withhold payment for any services not rendered in accordance with the scope defined in this Purchase Order.
5. The Lawyer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and shall provide a certificate of insurance to the Buyer prior to the commencement of services. All work product, including but not limited to legal memoranda, drafted contracts, and correspondence, shall remain the exclusive property of the Buyer upon full payment.
6. Confidentiality: The Lawyer acknowledges that in the course of performing services under this Purchase Order, he or she may be privy to proprietary business information, trade secrets, and confidential data belonging to the Buyer. The Lawyer shall be bound by the terms of a separate Non-Disclosure Agreement (NDA) executed concurrently with this Purchase Order and shall not disclose any such information to third parties without prior written consent, in accordance with California Evidence Code Section 954 and applicable attorney-client privilege statutes of the United States.
7. This Purchase Order is governed by and shall be construed in accordance with the laws of the State of California and the federal laws of the United States of America. Any disputes arising from or relating to this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, United States, and the parties hereby consent to personal jurisdiction in said courts.
8. The Buyer reserves the right to modify, amend, or cancel any line item of this Purchase Order upon fourteen (14) days written notice to the Lawyer. In the event of cancellation, the Buyer shall be liable only for services actually rendered and documented up to the date of cancellation.
9. This Purchase Order shall remain in full force and effect from the date of issuance until the completion of all services listed herein, unless terminated earlier in accordance with the terms set forth above. Neither party may assign this Purchase Order without the prior written consent of the other party.
10. All notices, demands, or communications required or permitted under this Purchase Order shall be in writing and delivered to the addresses specified above in Los Angeles, California, United States, or to such other address as either party may designate in writing.
