1. Description of ServicesThis Purchase Order is issued by Tashkent Industrial Holdings LLC (hereinafter referred to as the "Purchasing Party") to formally engage the services of Dilnoza Rahimova, Esq., a licensed Lawyer registered with the Bar Association of the Republic of Uzbekistan (hereinafter referred to as the "Lawyer" or "Service Provider"), for the provision of comprehensive legal counsel and representation in the city of Tashkent, Uzbekistan. The Lawyer shall render professional legal services in accordance with the Civil Code of the Republic of Uzbekistan, the Law on Advocacy, and all applicable regulations governing the practice of law within Uzbekistan Tashkent jurisdiction.

- Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Tashkent, Uzbekistan, or through arbitration at the Tashkent Arbitration Center, as mutually agreed by the parties.
- Payment Terms: The Purchasing Party shall remit payment within fifteen (15) business days of receipt of a valid invoice from the Lawyer. Payment shall be made via bank transfer to the account designated by the Service Provider. A 10% advance payment is due upon execution of this Purchase Order. The remaining balance shall be paid in monthly installments corresponding to the service periods outlined in Section 2.
- Professional Obligations of the Lawyer: The Lawyer shall maintain the highest standards of professional conduct as prescribed by the Bar Association of Uzbekistan. The Lawyer shall act with due diligence, confidentiality, and loyalty to the Purchasing Party. The Lawyer shall not represent any party with interests adverse to the Purchasing Party in matters related to this engagement without prior written consent.
- Confidentiality: All information, documents, and trade secrets disclosed to the Lawyer in connection with this Purchase Order shall be treated as strictly confidential. The Lawyer shall not disclose any such information to third parties except as required by law or court order in Uzbekistan Tashkent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Purchasing Party shall pay for all services rendered up to the date of termination. The Lawyer shall return all documents and materials belonging to the Purchasing Party within ten (10) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest in Uzbekistan.
- Language: This Purchase Order is executed in English. In the event of any discrepancy between the English version and any translation into Uzbek, the English version shall prevail for internal corporate records, while all filings with Uzbek courts and government bodies in Tashkent shall be submitted in the Uzbek language with certified translation.
- Validity: This Purchase Order is valid from the date of signature until the completion of all services described herein, unless terminated earlier in accordance with the terms stated above.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Lawyer's professional services in Tashkent, Uzbekistan. The Purchasing Party confirms that it has the authority to commit funds for the legal services described herein, and the Lawyer confirms acceptance of the scope of work, fees, and conditions set forth in this document.
