All Librarian services procured under this Purchase Order shall be performed exclusively at the following location in Italy Milan: Biblioteca Civica di Milano, Via Brera 28, 20121 Milano (MI), Italy. The Supplier shall ensure that all Librarian personnel assigned to this contract are physically present at the Italy Milan facility during agreed working hours, Monday through Friday, 08:00 to 18:00, and Saturday 09:00 to 13:00, in accordance with the operational schedule of the library. Any remote or hybrid work arrangements for Librarian staff must be pre-approved in writing by the Purchasing Entity and shall not exceed 20% of total working hours.
Payment for the Librarian services and associated items listed in this Purchase Order shall be made via bank transfer (bonifico bancario) to the Supplier's designated account in Italy. The payment schedule is as follows:
- 30% advance payment upon acceptance of this Purchase Order (within 15 business days of signature).
- 40% interim payment upon completion of the first six (6) months of Librarian service delivery in Italy Milan.
- 30% final payment upon successful completion of the full 12-month contract period and submission of the final performance report.
All invoices must reference this Purchase Order number (IT-MIL-2025-00472) and must be issued in accordance with Italian fiscal regulations (fattura elettronica). Late payments shall accrue interest at the rate of 1.5% per month as stipulated by Italian commercial law.
- Compliance with Italian Law: All Librarian personnel engaged under this Purchase Order must hold valid work permits for Italy and comply with the Italian Labour Code (Codice del Lavoro, D.Lgs. 81/2008) and all applicable regulations of the City of Milan (Comune di Milano).
- Professional Qualifications: The Supplier guarantees that all Librarian professionals assigned to this Purchase Order hold a minimum of a Laurea Magistrale in Library Science, Information Science, or a related discipline, and possess at least three (3) years of professional experience in a library environment in Italy or an equivalent European institution.
- Confidentiality: The Supplier and all Librarian personnel shall maintain strict confidentiality regarding the contents of the Italy Milan library collections, patron data, and internal operational procedures. A Non-Disclosure Agreement (NDA) compliant with the Italian Privacy Code (D.Lgs. 196/2003) and the EU GDPR shall be executed prior to commencement of services.
- Performance Standards: The Librarian services shall be delivered in accordance with the standards set by the International Federation of Library Associations (IFLA) and the Italian National Library (Biblioteca Nazionale Centrale di Firenze) guidelines. Quarterly performance reviews shall be conducted by the Purchasing Entity at the Italy Milan facility.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Supplier shall ensure an orderly transition of all Librarian duties and handover of materials, records, and digital assets to the Purchasing Entity within thirty (30) days of the effective termination date.
- Warranty and Liability: The Supplier warrants that all Librarian services shall be performed with professional diligence and in a manner consistent with the standards of the library profession in Italy Milan. The Supplier shall be liable for any damage to physical or digital collections caused by negligence of the Librarian personnel during the performance of this Purchase Order.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures of public facilities in Italy Milan.
This Purchase Order becomes effective upon signature by both parties. By signing below, the Purchasing Entity authorizes the Supplier to commence the provision of Librarian services in Italy Milan as described herein, and the Supplier acknowledges acceptance of all terms, conditions, and obligations set forth in this Purchase Order.
