Terms, Conditions & Compliance Notes
- This Purchase Order is issued by the San Francisco Public Library System, a municipal agency operating within the City and County of San Francisco, California, United States. All services described herein shall be performed by the designated Librarian in accordance with the professional standards established by the American Library Association (ALA) and the California Library Association (CLA).
- The Librarian engaged under this Purchase Order must hold a current Master of Library Science (MLS) or Master of Library and Information Science (MLIS) degree from an ALA-accredited program and maintain active membership in good standing with the ALA. Proof of credentials shall be submitted prior to the commencement of services on or before June 30, 2025.
- All work performed under this Purchase Order shall take place primarily at the San Francisco Central Library located at 100 Larkin Street, San Francisco, CA 94102, United States, unless otherwise specified in the line items above. Remote work arrangements, if applicable, must comply with the City and County of San Francisco's remote work policy and United States federal data security regulations.
- Payment shall be made via electronic funds transfer (EFT) to the account designated by the Librarian within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under California Commercial Code Section 2910.4.
- The Librarian shall comply with all applicable United States federal, California state, and San Francisco municipal labor laws, including but not limited to the California Labor Code, the Fair Labor Standards Act, and the San Francisco Fair Chance Ordinance. The Librarian is responsible for all applicable federal and state income tax withholdings.
- All intellectual property, metadata records, catalog entries, and reports produced by the Librarian in the course of fulfilling this Purchase Order shall become the sole property of the San Francisco Public Library System upon full payment. The Librarian grants an irrevocable, perpetual license to the Library System for internal and public use of all deliverables.
- This Purchase Order is subject to the City and County of San Francisco's procurement regulations (San Francisco Administrative Code, Title 17). Any modification, amendment, or cancellation of this Purchase Order must be executed in writing by both parties and approved by the Procurement Director.
- The Librarian shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence and $2,000,000 aggregate, naming the San Francisco Public Library System as an additional insured. Certificates of insurance must be provided prior to the start date.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in San Francisco, California, United States, in accordance with the rules of the American Arbitration Association. If mediation fails, binding arbitration shall take place in San Francisco under California law.
- This Purchase Order constitutes the entire agreement between the parties regarding the Librarian services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. No oral modification of this Purchase Order shall be valid or binding.
