1. Scope of Work: This Purchase Order authorises the procurement of Marine Engineer professional services and associated components for use in Australia Melbourne. All Marine Engineer personnel engaged under this Purchase Order must hold valid Australian Maritime Safety Authority (AMSA) certifications and be registered with the Australian Maritime College (AMC) in Hobart, Tasmania, or an equivalent recognised body.
2. Delivery and Commencement: All Marine Engineer services shall commence no later than 1 July 2025 at the designated berths and facilities within the Port of Melbourne, Australia Melbourne. The Supplier shall ensure that the assigned Marine Engineer arrives on-site no later than 0700 hours on the commencement date.
3. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Invoices must reference this Purchase Order number (PO-MEL-2025-04782) and be submitted to the accounts payable department at Southern Cross Maritime Holdings, Level 12, 120 Collins Street, Melbourne VIC 3000, Australia. Payment shall be made via electronic funds transfer (EFT) to the Supplier's nominated Australian bank account.
4. Compliance and Regulatory Obligations: The Supplier warrants that all Marine Engineer services delivered under this Purchase Order shall comply with the Maritime Safety Act 1994 (Cth), the Navigation (Victorian Waters) Act 1988, and all applicable Australian Standards (AS) relevant to marine engineering operations in Australia Melbourne. The Marine Engineer shall maintain valid white cards, safety inductions, and any site-specific access permits required by Port of Melbourne Corporation.
5. Insurance and Indemnity: The Supplier shall maintain, at its own cost, public liability insurance of no less than AUD 20,000,000 and professional indemnity insurance of no less than AUD 10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of any Marine Engineer work in Australia Melbourne.
6. Cancellation and Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Buyer shall be liable for all Marine Engineer services rendered and components supplied up to the date of termination, plus any non-recoverable costs incurred by the Supplier in Australia Melbourne.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia Melbourne, and the Commonwealth of Australia. Any disputes arising from this Purchase Order relating to Marine Engineer services shall be resolved in the courts of Victoria, Australia Melbourne.
8. Confidentiality: All technical data, vessel specifications, and operational information shared in connection with this Purchase Order and the engagement of the Marine Engineer in Australia Melbourne shall be treated as confidential and shall not be disclosed to third parties without prior written consent.
