Terms and Conditions of this Purchase Order

  1. This Purchase Order is issued by BD Maritime Services Ltd., Bangladesh Dhaka, and constitutes a binding agreement upon acceptance by the Seller. All Marine Engineer personnel deployed under this Purchase Order must hold valid certifications recognized by the Bangladesh Maritime Administration and the International Maritime Organization (IMO).
  2. All Marine Engineer services and equipment shall be delivered to the designated logistics hub in Bangladesh Dhaka no later than 15 July 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
  3. The Seller warrants that all Marine Engineer personnel engaged under this Purchase Order possess the qualifications, experience, and physical fitness certificates as specified in the line items. Any substitution of Marine Engineer personnel requires prior written approval from the Buyer's Procurement Manager in Bangladesh Dhaka.
  4. Payment shall be processed via bank transfer to the Seller's designated account. The 30% advance payment shall be released within 7 working days of Purchase Order acceptance. The remaining 70% shall be disbursed within 14 working days of successful completion, final inspection, and submission of all Marine Engineer service reports and equipment handover documentation.
  5. All equipment and tools procured under this Purchase Order shall carry a minimum 12-month manufacturer's warranty. The Seller shall provide on-site technical support in Bangladesh Dhaka for any warranty claims within 48 hours of notification.
  6. The Marine Engineer training program (Item 04) shall be conducted at the Buyer's facility in Bangladesh Dhaka. The Seller is responsible for all training materials, certified instructors, and venue setup. The Buyer shall provide necessary workspace and access to vessels for practical sessions.
  7. This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001.
  8. The Seller shall comply with all applicable Bangladesh Dhaka municipal regulations, environmental standards, and occupational health and safety requirements during the execution of this Purchase Order. All Marine Engineer personnel must undergo a mandatory safety induction upon arrival at the Bangladesh Dhaka facility.
  9. This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications to the scope, pricing, or delivery schedule of this Purchase Order shall be valid.
  10. The Seller shall maintain full insurance coverage for all Marine Engineer personnel and equipment throughout the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement of work in Bangladesh Dhaka.
