This Purchase Order is issued to formally engage the services of a qualified Marine Engineer to provide comprehensive technical consultancy, inspection, and maintenance oversight for the maritime infrastructure assets managed by the Buyer in and around Belgium Brussels and the broader Flemish coastal region. The Marine Engineer shall hold a valid Class 1 Marine Engineering Certificate issued by the Belgian Federal Public Service Mobility and Transport, and shall possess a minimum of ten (10) years of documented professional experience in marine propulsion systems, hull integrity assessment, and offshore platform maintenance.

The scope of work under this Purchase Order encompasses the following deliverables to be performed by the appointed Marine Engineer:

  • Conducting quarterly structural inspections of all dry-dock facilities and floating pontoons operated within the Belgium Brussels maritime jurisdiction.
  • Providing technical advisory reports on the condition of marine diesel engines, steam turbines, and auxiliary power units installed on vessels registered under the Belgian flag and berthed in Belgium Brussels waters.
  • Overseeing the commissioning and decommissioning of marine electrical systems, including switchgear, transformers, and emergency power generation units.
  • Preparing detailed condition assessment reports in compliance with the International Maritime Organization (IMO) standards and Belgian maritime safety regulations applicable in Belgium Brussels.
  • Delivering a minimum of two (2) on-site technical training sessions per quarter for the Buyer's in-house maintenance staff based in Belgium Brussels.

All payments under this Purchase Order shall be made in Euros (EUR) via bank transfer to the Supplier's designated account in Belgium Brussels. Invoices must reference this Purchase Order number (PO-BE-2025-04782) and shall be submitted within thirty (30) calendar days of service completion. Payment terms are net forty-five (45) days from the date of invoice receipt by the Buyer's finance department in Belgium Brussels.

4.1 This Purchase Order is governed by the laws of Belgium and shall be interpreted in accordance with the Belgian Code of Economic Law and applicable European Union procurement directives. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Belgium Brussels.

4.2 The Marine Engineer engaged under this Purchase Order shall comply with all occupational health and safety regulations in force in Belgium Brussels, including but not limited to the Belgian Royal Decree on the Protection of Workers in the Maritime Sector. The Supplier shall maintain full professional indemnity and public liability insurance with a minimum coverage of EUR 2,000,000, valid throughout the duration of this Purchase Order.

4.3 The Supplier warrants that the Marine Engineer assigned to this Purchase Order shall not be simultaneously engaged in conflicting duties for any competing entity operating in the Belgium Brussels maritime sector. A conflict-of-interest declaration must be filed with each quarterly progress report.

4.4 All technical reports, inspection findings, and training materials produced under this Purchase Order shall remain the exclusive intellectual property of the Buyer. The Marine Engineer and the Supplier shall sign a non-disclosure agreement prior to commencing any work in Belgium Brussels.

4.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet the performance benchmarks outlined in Section 2, or insolvency of the Supplier. Upon termination, the Supplier shall be compensated only for services rendered up to the effective date of termination.

4.6 The Supplier shall submit a detailed work plan and schedule to the Buyer's project management office in Belgium Brussels within ten (10) business days of the acceptance of this Purchase Order. All milestones shall be reviewed at monthly progress meetings held at the Buyer's premises in Belgium Brussels.

This Purchase Order becomes effective upon signature by both parties. The Supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications set forth herein. No amendment to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties in Belgium Brussels.
