2. Scope of ProcurementThis Purchase Order is issued by Atlântico Marítimo Serviços Ltda. to formally request and authorize the engagement of a qualified Marine Engineer to provide specialized technical services for the maintenance, inspection, and operational support of commercial vessels operating out of the Port of Rio de Janeiro. The Marine Engineer shall be responsible for overseeing all mechanical, electrical, and hydraulic systems aboard the buyer's fleet of cargo and passenger vessels berthed in the waters of Brazil Rio de Janeiro. The scope includes but is not limited to: routine engine room inspections, preventive maintenance scheduling, compliance verification with Brazilian Maritime Authority (Marinha do Brasil) regulations, emergency repair coordination, and technical reporting to the vessel's management team.

All services under this Purchase Order shall be performed at the designated operational sites within Brazil Rio de Janeiro, including but not limited to the Port of Rio de Janeiro (Porto do Rio), the Itaguaí Industrial Port, and any vessel operating within the territorial waters of the state of Rio de Janeiro. The Marine Engineer shall maintain a primary base of operations at the buyer's facility located on Av. Brasil, 2400, Brazil Rio de Janeiro, and shall be available for deployment to any vessel in the fleet upon a minimum of 48-hour notice, or immediately in the case of a declared emergency.
5. Payment Terms and Conditions5.1 Payment shall be made in monthly installments via bank transfer (TED/PIX) to the account designated by the service provider, within 30 (thirty) calendar days from the date of invoice receipt.
5.2 The total value of this Purchase Order is R$ 802,000.00 (eight hundred and two thousand Brazilian Reais), inclusive of all applicable taxes, including ISS (Imposto Sobre Serviços) as levied by the municipality of Brazil Rio de Janeiro.
5.3 A retention of 5% (five percent) shall be withheld from each monthly payment and released in full upon satisfactory completion of the 12-month contract term and final acceptance of all deliverables.
5.4 Late payments shall accrue interest at the rate of 1% per month, compounded monthly, in accordance with Brazilian commercial law (Código Civil, Art. 406).
5.5 All invoices must reference this Purchase Order number (BR-RJ-2025-04871) to be processed by the buyer's accounts payable department.
6. Qualifications and Compliance RequirementsThe Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency issued or recognized by the Marinha do Brasil, a minimum of 10 years of documented experience in commercial vessel engineering, and current certification in ISO 55001 (Asset Management) and ISO 9001 (Quality Management Systems). The engineer must also demonstrate proficiency in the Portuguese language for all regulatory filings and crew communications within Brazil Rio de Janeiro. The service provider shall maintain full civil liability insurance (seguro de responsabilidade civil) with a minimum coverage of R$ 5,000,000.00 for the duration of the contract.
7. Termination and Dispute ResolutionEither party may terminate this Purchase Order with 60 (sixty) days' written notice. In the event of a material breach, the non-breaching party may terminate immediately upon written notice. All disputes arising from this agreement shall be resolved through arbitration in Brazil Rio de Janeiro, under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá), with proceedings conducted in the Portuguese language. The governing law for this Purchase Order shall be the laws of the Federative Republic of Brazil.
8. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Marine Engineer to provide professional services in Brazil Rio de Janeiro. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
