This Purchase Order is issued by St. Lawrence Maritime Services Inc. (hereinafter referred to as the "Buyer") to North Atlantic Marine Engineering Group Ltd. (hereinafter referred to as the "Seller") for the provision of a qualified Marine Engineer to perform comprehensive engineering, maintenance, and operational oversight services at the Buyer's facility located in Canada Montreal. The Marine Engineer shall be responsible for the inspection, repair, and preventive maintenance of all marine propulsion systems, auxiliary machinery, HVAC units, electrical installations, and safety-critical equipment housed within the Buyer's vessel maintenance and dry-dock operations at the Port of Montreal.
The Marine Engineer engaged under this Purchase Order must hold a valid Canadian Marine Engineer Certificate of Competency (MECC) issued by Transport Canada, with a minimum of eight (8) years of documented experience in commercial marine engineering. The candidate must be fluent in both English and French, as all operational documentation, safety briefings, and regulatory reporting within Canada Montreal are conducted bilingually in accordance with Quebec's Charter of the French Language (Bill 101) and federal bilingualism requirements.

3.1 This Purchase Order is governed by the Civil Code of Quebec and the federal laws of Canada applicable to commercial maritime services. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Quebec Arbitration Association.
3.2 The Marine Engineer assigned under this Purchase Order shall comply with all safety regulations established by Transport Canada, the Canada Montreal Port Authority, and the Quebec Ministry of Transport. Failure to maintain required certifications shall constitute grounds for immediate termination of this Purchase Order without penalty to the Buyer.
3.3 The Seller warrants that the Marine Engineer shall not be engaged in any conflicting employment or consultancy with competing maritime entities within the Canada Montreal metropolitan area during the term of this Purchase Order.
3.4 All intellectual property, technical reports, maintenance logs, and engineering documentation produced by the Marine Engineer in the course of this Purchase Order shall remain the sole property of St. Lawrence Maritime Services Inc. and shall be stored at the Buyer's Canada Montreal facility.
3.5 The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, naming the Buyer as an additional insured party. Proof of insurance shall be provided prior to the commencement date specified in this Purchase Order.
3.6 Payment shall be processed via electronic funds transfer (EFT) to the Seller's designated bank account in Canada Montreal. Invoices must reference this Purchase Order number (PO-2025-ME-00472) and shall be submitted on the last business day of each calendar month.
NOTE: This Purchase Order is valid for acceptance within ten (10) business days of the date of issue. Upon acceptance, the terms herein shall constitute a binding agreement between the parties. The Seller acknowledges that all services described in this Purchase Order are to be performed at the Buyer's premises in Canada Montreal and are subject to the Buyer's site safety protocols and access control procedures.
