2. SCOPE OF WORK AND OBLIGATIONS

The Seller shall assign a certified Marine Engineer holding a valid Class IV Marine Engineer Certificate of Competency (as recognized by the China MSA and the International Maritime Organization) to perform all duties outlined in this Purchase Order. The Marine Engineer shall be physically present at the Buyer's operational headquarters located in China Beijing for a minimum of 220 working days per annum. All technical assessments, maintenance schedules, and compliance reports produced by the Marine Engineer shall be submitted in both English and Mandarin Chinese to ensure full regulatory alignment with China Beijing local maritime authorities.

The Marine Engineer is responsible for conducting quarterly performance audits on all main and auxiliary engines, verifying fuel oil and lubricant quality parameters, overseeing the operation of exhaust gas cleaning systems (scrubbers) in compliance with China's domestic emission control area regulations, and maintaining a complete digital logbook accessible to the Buyer's operations team in China Beijing.

3. DELIVERY AND COMMENCEMENT

The Marine Engineer shall commence full-time duties no later than 1 August 2025 at the Buyer's China Beijing facility. The Seller is responsible for arranging all international travel, work visa sponsorship (Z-visa for foreign professionals in China), accommodation in the Chaoyang District of China Beijing, and local transportation for the duration of the engagement. The Seller shall ensure the Marine Engineer holds valid health clearance certificates as mandated by the Chinese Ministry of Public Security for foreign workers operating in China Beijing.

4. PAYMENT SCHEDULE

Payment for this Purchase Order shall be structured as follows: (a) 20% advance payment (CNY 224,400.00) due within 14 days of Purchase Order acceptance; (b) 60% milestone payments (CNY 673,200.00) disbursed quarterly upon satisfactory completion of the Marine Engineer's performance reviews; (c) 20% final settlement (CNY 224,400.00) due within 30 days of contract completion. All payments shall be made via wire transfer to the Seller's designated bank account in Singapore, with applicable cross-border remittance fees borne by the Buyer. Invoices must reference this Purchase Order number (PO-CMB-2025-04187) and include the Seller's tax registration details for China Beijing customs and tax authority compliance.

5. TERMS AND CONDITIONS

This Purchase Order is governed by the laws of the People's Republic of China and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing. The Seller warrants that the assigned Marine Engineer possesses all necessary qualifications, professional indemnity insurance (minimum coverage of USD 2,000,000), and professional liability insurance valid throughout the China Beijing operational area.

The Buyer reserves the right to terminate this Purchase Order with 60 days' written notice if the Marine Engineer fails to meet the performance benchmarks defined in the attached Service Level Agreement (SLA). Upon termination, all proprietary technical data, engine schematics, and operational records generated during the engagement in China Beijing shall be returned to the Buyer within 7 business days.

NOTE: This Purchase Order is subject to final approval by the Buyer's Board of Directors and the China Beijing Municipal Commerce Bureau for foreign service import registration. The Seller must submit all required import service contracts to the local tax bureau in China Beijing within 30 days of contract execution to comply with State Administration of Taxation (SAT) regulations on cross-border service payments.

6. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Marine Engineer in China Beijing. This document constitutes a binding commercial agreement upon execution by authorized representatives of both the Buyer and the Seller.
