This Purchase Order is issued by Guangzhou Maritime Industrial Group Co., Ltd. (hereinafter referred to as the "Buyer") to Shenzhen Oceanic Engineering Solutions Ltd. (hereinafter referred to as the "Seller") for the procurement and deployment of a qualified Marine Engineer to provide specialized technical services at the Buyer's operational facility located in China Guangzhou. The Marine Engineer shall be responsible for the design oversight, installation supervision, commissioning, and ongoing maintenance of the marine propulsion and auxiliary systems aboard the vessel fleet operated by the Buyer at the Guangzhou International Container Terminal and the adjacent dry-dock facilities.
The Marine Engineer engaged under this Purchase Order shall perform the following duties while stationed in China Guangzhou:
- Conduct comprehensive inspections of marine diesel engines, gearboxes, and shafting assemblies at the Guangzhou shipyard premises.
- Oversee the installation and calibration of new ballast water treatment systems in compliance with IMO regulations.
- Provide technical consultancy on fuel efficiency optimization for the Buyer's fleet of twelve (12) container vessels.
- Prepare detailed engineering reports, maintenance schedules, and compliance documentation for submission to the China Classification Society (CCS) and the Guangzhou Maritime Safety Administration.
- Train local maintenance personnel at the China Guangzhou facility on advanced marine engineering diagnostic procedures.
- Respond to emergency breakdowns and provide on-site troubleshooting within a maximum of four (4) hours of notification.

Payment for this Purchase Order shall be made in accordance with the following schedule:
- Advance Payment: 30% of the total contract value (CNY 487,990.50) shall be remitted within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
- Progress Payments: 50% of the total contract value (CNY 813,317.50) shall be paid in equal monthly installments over the twelve-month service period, due on the 5th of each month.
- Final Payment: The remaining 20% (CNY 325,327.00) shall be paid within fifteen (15) business days following the successful completion of all deliverables and the submission of the final Marine Engineer performance report.
- All payments shall be made via bank transfer to the Seller's designated account in RMB (CNY). The Buyer's bank is the Industrial and Commercial Bank of China (ICBC), Guangzhou Branch, located in China Guangzhou.
The Marine Engineer shall report for duty at the Buyer's headquarters and operational site in China Guangzhou no later than 1 July 2025. The Seller is responsible for arranging the Marine Engineer's travel to China Guangzhou, obtaining the necessary work visa, and securing appropriate professional liability insurance valid within the People's Republic of China. The Buyer shall provide a dedicated workspace, access to all vessel documentation, and reasonable on-site facilities at the Guangzhou facility.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
- The Marine Engineer must hold a valid Class 1 Marine Engineer certificate recognized by the China Classification Society and possess a minimum of ten (10) years of relevant experience in marine propulsion systems.
- The Seller warrants that the Marine Engineer assigned under this Purchase Order shall not be engaged in any competing project within the China Guangzhou metropolitan area during the term of this engagement.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
- All intellectual property, engineering drawings, and technical reports produced by the Marine Engineer in the course of this engagement shall remain the exclusive property of the Buyer.
- The Seller shall maintain a minimum professional indemnity insurance coverage of CNY 5,000,000 for the duration of this Purchase Order.
- Confidentiality obligations under this Purchase Order shall survive termination for a period of five (5) years.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Marine Engineer in China Guangzhou.
