This Purchase Order is issued by Shanghai Maritime Industrial Group Co., Ltd. (hereinafter referred to as the "Buyer") to Global Marine Engineering Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement and engagement of a qualified Marine Engineer to provide comprehensive technical services, operational oversight, and engineering consultancy at the Buyer's primary vessel maintenance and shipbuilding facility located in China Shanghai. This Purchase Order constitutes a binding agreement between both parties and governs all terms, conditions, deliverables, and obligations associated with the Marine Engineer engagement described herein.
The Marine Engineer engaged under this Purchase Order shall be responsible for the full spectrum of marine engineering operations at the Buyer's China Shanghai yard, including but not limited to: design review and approval of marine propulsion systems, hull integrity assessments, ballast water treatment system compliance, engine room equipment maintenance scheduling, and coordination with the China Maritime Safety Administration (MSA) for all regulatory inspections conducted within the China Shanghai jurisdiction. The Marine Engineer must hold a valid Class 1 Marine Engineer Certificate issued by the China Maritime Safety Administration and possess a minimum of ten (10) years of documented experience in commercial vessel engineering operations.

- This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order relating to the Marine Engineer engagement in China Shanghai shall be submitted to the Shanghai International Arbitration Center for resolution.
- The Supplier warrants that the Marine Engineer assigned to this Purchase Order shall maintain all necessary certifications, including the Class 1 Marine Engineer license, valid work permit for China Shanghai, and professional liability insurance with a minimum coverage of CNY 5,000,000 throughout the contract period.
- The Marine Engineer shall report directly to the Buyer's Chief Technical Officer at the China Shanghai headquarters and shall be available on-site a minimum of five (5) days per week, Monday through Friday, 08:00 to 17:00 China Standard Time, with additional on-call availability as specified in Line Item 03.
- All deliverables, engineering reports, and compliance documentation produced by the Marine Engineer under this Purchase Order shall be submitted in both Mandarin Chinese and English to satisfy the regulatory requirements of the China Shanghai port authority and the China Maritime Safety Administration.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Marine Engineer fails to meet the performance benchmarks outlined in the attached Service Level Agreement, or if the Supplier is unable to provide a qualified replacement Marine Engineer within fourteen (14) calendar days of a termination request.
- Payment under this Purchase Order shall be made via bank transfer to the Supplier's designated account in China Shanghai. Invoices must reference Purchase Order number PO-2025-SH-ME-0472 and shall be submitted by the 5th of each month for the preceding month's services rendered by the Marine Engineer.
- The Supplier shall ensure that the Marine Engineer complies with all applicable occupational health and safety regulations in force in China Shanghai, including but not limited to the PRC Work Safety Law and the Shanghai Municipal Regulations on Hazardous Chemicals Management.
- Confidentiality: All proprietary technical data, vessel specifications, and operational records accessed by the Marine Engineer in the course of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the Marine Engineer services to be delivered in China Shanghai. This Purchase Order becomes effective upon the last signature and remains in force for the duration specified herein unless terminated earlier in accordance with the provisions stated above.
