This Purchase Order is issued by Congo River Maritime & Industrial Services S.A. (hereinafter referred to as the "Buyer") to Atlantic Marine Engineering Consultants Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Marine Engineer to provide specialized technical services, maintenance oversight, and operational support for the Buyer's fleet of riverine vessels and associated marine infrastructure located in DR Congo Kinshasa.
The Marine Engineer shall be responsible for the following scope of duties within the DR Congo Kinshasa operational zone:
- Conducting comprehensive inspections, diagnostics, and preventive maintenance of all diesel and hybrid marine propulsion systems aboard the Buyer's fleet of twelve (12) cargo and passenger vessels operating on the Congo River and its tributaries near Kinshasa.
- Overseeing the repair and refurbishment of marine auxiliary machinery, including generators, bilge pumps, steering gear, and fuel filtration systems, in accordance with international marine engineering standards (IMO, ILO, and local DR Congo maritime regulations).
- Preparing and submitting monthly technical condition reports to the Buyer's Operations Directorate in Kinshasa, detailing equipment performance metrics, recommended corrective actions, and projected maintenance schedules.
- Supervising and training a team of six (6) local marine technicians based at the Buyer's Kinshasa dry-dock facility on Avenue du Fleuve, ensuring knowledge transfer and capacity building within the DR Congo Kinshasa maritime workforce.
- Managing the procurement of spare parts, lubricants, and consumables required for vessel maintenance, ensuring compliance with the Buyer's approved vendor list and DR Congo import regulations.
- Providing emergency technical response and on-call support for critical marine engineering failures affecting vessel operations in the DR Congo Kinshasa waterways, with a maximum response time of four (4) hours.

All prices are quoted in United States Dollars (USD). Applicable DR Congo Kinshasa local taxes, including the 16% Value Added Tax (TVA) and any withholding tax as mandated by the Direction Générale des Impôts (DGI) of the Democratic Republic of the Congo, shall be added to the above total and are the responsibility of the Buyer unless otherwise stipulated in the master service agreement.
- Commencement and Duration: The Marine Engineer shall commence duties in DR Congo Kinshasa no later than 1 July 2025. The engagement period under this Purchase Order is twelve (12) months, extendable by mutual written agreement of both parties.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-CD-KIN-2025-0047) and be submitted to the Buyer's Finance Department in Kinshasa. Payment shall be processed via international wire transfer to the Supplier's designated bank account.
- Compliance with DR Congo Kinshasa Regulations: The Marine Engineer shall comply with all applicable laws, regulations, and maritime codes of the Democratic Republic of the Congo, including but not limited to the Code de la Navigation Intérieure, work permit requirements, and local labor laws governing the DR Congo Kinshasa metropolitan area.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and personal accident coverage for the Marine Engineer at a minimum of USD 500,000 per occurrence, valid throughout the DR Congo Kinshasa operational area.
- Confidentiality: All technical data, vessel specifications, operational records, and proprietary information encountered by the Marine Engineer in the course of duties in DR Congo Kinshasa shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, plus reasonable costs associated with the Marine Engineer's repatriation from DR Congo Kinshasa.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo. Any disputes arising herefrom shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Centre National d'Arbitrage.
The Marine Engineer shall report to the Buyer's primary operations base located at the Kinshasa Dry-Dock and Vessel Maintenance Facility, Avenue du Fleuve, Commune de Kintambo, DR Congo Kinshasa. The Supplier is responsible for arranging the Marine Engineer's international travel to DR Congo Kinshasa, obtaining all necessary visas, work permits, and entry documentation in accordance with the immigration requirements of the Democratic Republic of the Congo. The Buyer shall provide a letter of invitation and support documentation to facilitate the visa application process.
