This Purchase Order is issued by Alexandria Maritime Operations & Logistics Company S.A.E. (hereinafter referred to as the "Purchasing Party") to formally engage the services of a qualified Marine Engineer for the operation, maintenance, and technical oversight of the company's fleet of commercial vessels operating out of the Port of Egypt Alexandria. The Marine Engineer shall be responsible for ensuring full compliance with the Egyptian Maritime Authority regulations, the International Maritime Organization (IMO) standards, and all applicable SOLAS, MARPOL, and ISM Code requirements governing vessel operations in Egyptian territorial waters and the Mediterranean Sea.

The scope of this Purchase Order encompasses the recruitment, deployment, and ongoing professional engagement of a certified Marine Engineer who will be physically stationed at the company's operational base in Egypt Alexandria, specifically at the Alexandria Port Authority terminal facilities on the eastern waterfront. The Marine Engineer shall report directly to the Chief Operations Officer of the Purchasing Party and shall maintain a minimum on-site presence of five (5) working days per week, with availability for emergency call-outs as dictated by operational necessity.

The Marine Engineer engaged under this Purchase Order must satisfy the following mandatory qualifications and credentials:

  • Hold a valid Class 1 Marine Engineer's Certificate of Competency issued by the Egyptian Maritime Authority (EMA), Alexandria Regional Directorate.
  • Possess a minimum of eight (8) years of documented sea service experience in the role of Marine Engineer on commercial vessels of 500 GT or greater.
  • Be fluent in both Arabic and English, with demonstrated technical writing proficiency for regulatory reporting.
  • Hold a valid STCW (Standards of Training, Certification, and Watchkeeping) certificate, current and unexpired.
  • Be physically resident in or willing to relocate to Egypt Alexandria within fourteen (14) days of the commencement date specified in this Purchase Order.
  • Pass a comprehensive medical fitness examination conducted at an EMA-approved medical center in Egypt Alexandria prior to the start of engagement.

All payments under this Purchase Order shall be made in Egyptian Pounds (EGP) via bank transfer to the Supplier's designated account at the National Bank of Egypt, Alexandria Branch. Payment shall be structured as follows: a 20% advance payment upon execution of this Purchase Order, followed by monthly invoices submitted by the 5th business day of each subsequent month, payable within thirty (30) days of invoice receipt. The final 10% retention shall be released upon satisfactory completion of the full twelve-month contract term and submission of the final annual performance report to the Purchasing Party's Board of Directors.

All amounts stated in this Purchase Order are exclusive of Value Added Tax (VAT) at the prevailing rate of 14% as governed by the Egyptian Tax Authority. VAT shall be added to each invoice as applicable.

This Purchase Order is governed by the laws of the Arab Republic of Egypt, including the Egyptian Commercial Code and the Maritime Code (Law No. 133 of 1981, as amended). Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Courts of Egypt Alexandria.

The Supplier warrants that the Marine Engineer engaged under this Purchase Order shall at all times comply with the health, safety, and environmental regulations enforced by the Port of Egypt Alexandria Authority and the Egyptian Environmental Affairs Agency. The Marine Engineer shall maintain a clean disciplinary record and shall not be subject to any active suspension or restriction by the Egyptian Maritime Authority.

The Purchasing Party reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance benchmarks, or regulatory non-compliance by the Marine Engineer. In such an event, all services rendered up to the date of termination shall be invoiced and settled in accordance with the payment terms outlined in Section 4.

Note: This Purchase Order constitutes a binding commercial agreement upon signature by both authorized representatives. No modification, amendment, or supplementary instruction shall be valid unless executed in writing and countersigned by both parties. All communications regarding this Purchase Order shall be directed to the designated contact persons listed in the header of this document.
