3. Scope of Work & Line Items

This Purchase Order is issued by Nile Delta Maritime & Industrial Services S.A.E., headquartered in Egypt Cairo, to formally engage the services of a qualified Marine Engineer and associated technical consultancy team. The Marine Engineer shall provide comprehensive design, inspection, commissioning, and maintenance oversight for the buyer's fleet of inland waterway vessels operating along the Nile River corridor and the Suez Canal approach channels within the Egypt Cairo metropolitan and surrounding operational zones.

4. Terms and Conditions
  1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must return a signed copy of this Purchase Order to the buyer's procurement office in Egypt Cairo within five (5) business days of receipt.
  2. Qualification of Marine Engineer: The assigned Marine Engineer must hold a valid Class 1 Marine Engineer's Certificate of Competency issued or recognized by the Egyptian Maritime Authority, a minimum of ten (10) years of post-qualification experience in commercial vessel operations, and current registration with the Egyptian Engineers Syndicate. All credentials must be verified prior to commencement of work in Egypt Cairo.
  3. Performance Period: Services shall commence on 1 July 2025 and continue through 30 June 2026, unless terminated earlier in accordance with Clause 7. All deliverables must be completed within the Egypt Cairo operational area as specified in the line items above.
  4. Payment: Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice and corresponding delivery/completion certificate. Invoices must reference this Purchase Order number (PO-EGY-CIR-2025-04782) and include the Supplier's VAT registration number.
  5. Intellectual Property: All technical reports, design drawings, inspection records, and training materials produced by the Marine Engineer under this Purchase Order shall remain the exclusive property of Nile Delta Maritime & Industrial Services S.A.E. The Supplier grants a non-exclusive license to retain copies solely for quality assurance purposes.
  6. Confidentiality: The Supplier and the assigned Marine Engineer agree to maintain strict confidentiality regarding all operational data, vessel specifications, and commercial information encountered during the course of work in Egypt Cairo. This obligation survives termination of this Purchase Order for a period of three (3) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations for services rendered up to the termination date.
  8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from or in connection with this Purchase Order shall be resolved by arbitration in Egypt Cairo under the rules of the Egyptian Arbitration Centre, with proceedings conducted in English.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, civil unrest, government sanctions, or epidemics affecting operations in Egypt Cairo.
  10. Insurance: The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of EGP 5,000,000 for the duration of this Purchase Order, naming the buyer as an additional insured party.
5. Delivery and Reporting

All technical reports, inspection certificates, and deliverables under this Purchase Order shall be submitted in both hard copy (three (3) bound copies) and electronic format (PDF and editable CAD files where applicable) to the buyer's designated office at 42 Corniche El Nil, Dokki, Egypt Cairo. The Marine Engineer shall submit a monthly progress report by the 5th business day of each month detailing work completed, outstanding items, and any risks or delays affecting the project timeline in the Egypt Cairo operational zone.
