This Purchase Order is issued by Rhône-Alpes Maritime Logistics S.A. (hereinafter referred to as the "Buyer") to Atlantic Marine Engineering Consultants Ltd. (hereinafter referred to as the "Supplier") for the provision of a qualified Marine Engineer to be deployed and performing professional duties within the jurisdiction of France Lyon, specifically at the Buyer's operational facility located along the Rhône River industrial waterfront in Lyon, France. The scope of this Purchase Order encompasses the full-time engagement of a certified Marine Engineer for a continuous period of twelve (12) months, commencing on 1 September 2025 and concluding on 31 August 2026, unless otherwise extended by mutual written agreement between both parties.

The Marine Engineer engaged under this Purchase Order shall be responsible for the design oversight, installation supervision, maintenance coordination, and operational compliance of all marine propulsion systems, auxiliary machinery, and hydraulic infrastructure associated with the Buyer's inland waterway vessel fleet operating on the Rhône and Saône rivers in the France Lyon metropolitan area. The Marine Engineer must hold a valid Class 1 Marine Engineering Officer certificate recognized by the French Maritime Administration (Direction des Affaires Maritimes) and possess a minimum of eight (8) years of documented professional experience in marine mechanical and electrical systems.

4.1 – This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Lyon, France.

4.2 – The Supplier warrants that the Marine Engineer assigned under this Purchase Order shall comply with all applicable French labor regulations, including but not limited to the Code du Travail, working hour limitations, mandatory rest periods, and occupational health and safety standards as enforced by the French labor inspection authority (Inspection du Travail) in the Lyon district.

4.3 – The Marine Engineer shall report directly to the Buyer's Site Operations Manager in France Lyon and shall adhere to the Buyer's internal safety protocols, environmental compliance procedures, and quality management system (ISO 9001:2015) throughout the entire contract period.

4.4 – Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted monthly in arrears. Late payments shall accrue interest at a rate of 1.5% per month in accordance with French commercial law (Article L441-10 of the Code de Commerce).

4.5 – The Supplier shall maintain professional indemnity insurance with a minimum coverage of €2,000,000 per claim and €5,000,000 in aggregate, valid throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of services.

4.6 – Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, and the Supplier shall ensure an orderly handover of all technical documentation, maintenance records, and operational knowledge pertaining to the marine systems in France Lyon.

4.7 – The Supplier shall not subcontract any portion of the Marine Engineer engagement without the prior written consent of the Buyer. Any unauthorized subcontracting shall constitute a material breach of this Purchase Order.

4.8 – All technical reports, diagnostic findings, and engineering documentation produced by the Marine Engineer in the course of performing duties under this Purchase Order shall remain the exclusive intellectual property of the Buyer.

The Marine Engineer shall be physically present and operational at the Buyer's facility in France Lyon no later than 08:00 hours on 1 September 2025. The Supplier shall confirm the identity, qualifications, and availability of the assigned Marine Engineer in writing no fewer than fifteen (15) business days prior to the commencement date. Failure to meet this deadline shall entitle the Buyer to cancel this Purchase Order without penalty.

By signing below, both parties acknowledge and accept all terms, conditions, pricing, and obligations set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Marine Engineer services in France Lyon.
