This Purchase Order is issued by Compagnie Maritime du Sud-Est S.A. (hereinafter referred to as the "Buyer") to Atlantique Marine Engineering Consultants Ltd. (hereinafter referred to as the "Supplier") for the provision of qualified Marine Engineer services in support of the Buyer's fleet maintenance, overhaul, and operational readiness programmes. The scope of this Purchase Order encompasses the engagement of a certified Marine Engineer (or team of Marine Engineers) to perform technical supervision, machinery maintenance, propulsion system diagnostics, and regulatory compliance inspections on the Buyer's commercial vessels operating out of the port of France Marseille.
The Marine Engineer services shall be rendered at the Buyer's designated facilities located at the Port of Marseille-Fos, specifically at Berths 14 through 22, Quai de la Joliette, 13002 France Marseille. All work shall be conducted in accordance with the French Maritime Code (Code des Transports, Livre II), the International Maritime Organization (IMO) regulations, and the specific technical specifications outlined in Annex A of this Purchase Order.

The Supplier shall ensure that the designated Marine Engineer personnel are present and operational at the Buyer's facilities in France Marseille no later than 08:00 CET on 1 July 2025. The initial assignment period shall commence on this date and shall continue for the duration specified in Section 3 above, subject to extension by mutual written agreement. All Marine Engineer personnel must hold valid French work permits, current STCW (Standards of Training, Certification and Watchkeeping) certificates, and appropriate industrial safety training (CACES, Habilitation Électrique) prior to commencing work at the France Marseille port site.
Payment for this Purchase Order shall be made by bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-ME-FRM-0472) and shall be submitted to the Buyer's Accounts Payable department at the address listed in Section 1. The Buyer reserves the right to withhold payment for any portion of the Marine Engineer services deemed unsatisfactory or non-compliant with the technical specifications until corrective action has been verified and accepted in writing by the Buyer's Chief Technical Officer.
6.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of France Marseille (Tribunal de Commerce de Marseille).
6.2 The Supplier warrants that all Marine Engineer personnel assigned under this Purchase Order shall possess a minimum of ten (10) years of relevant experience in commercial marine propulsion systems, auxiliary machinery, and electrical installations aboard vessels of 5,000 GT or greater.
6.3 The Supplier shall maintain comprehensive professional indemnity insurance (minimum coverage of EUR 2,000,000) and employer's liability insurance for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of work at France Marseille.
6.4 The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach, failure to meet performance benchmarks, or force majeure conditions affecting operations at the France Marseille port.
6.5 All intellectual property, technical reports, and documentation produced by the Marine Engineer personnel in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment.
All Marine Engineer personnel working on-site in France Marseille shall comply with the Buyer's site-specific Health, Safety, and Environment (HSE) policy, French occupational safety regulations (Code du Travail), and the port authority's environmental protection directives. The Supplier is responsible for providing all necessary personal protective equipment (PPE) and ensuring that each Marine Engineer has completed the mandatory site induction before accessing any vessel or dockyard area.
