This Purchase Order is issued by Atlantique Maritime Services SAS (hereinafter referred to as the "Buyer") to NavTech Engineering & Consulting Ltd. (hereinafter referred to as the "Supplier") for the provision of qualified Marine Engineer professional services to be performed within the jurisdiction of France Paris. This Purchase Order constitutes a binding commercial agreement upon countersignature by both parties and shall be governed by the laws of the French Republic, with particular reference to the commercial codes applicable in France Paris.
The Buyer hereby requests and the Supplier hereby agrees to provide the following Marine Engineer services. The Marine Engineer engaged under this Purchase Order shall hold a valid Certificate of Competency (COC) as a Chief Engineer or Second Engineer, issued in accordance with the STCW Convention (Standards of Training, Certification and Watchkeeping) as recognized by the French Maritime Administration (Direction des Affaires Maritimes) based in France Paris.

3.1 Scope and Qualification of the Marine Engineer. The Marine Engineer assigned to this Purchase Order must possess a minimum of eight (8) years of documented sea service in equivalent or larger vessels. The Supplier shall provide the Buyer with a copy of the Marine Engineer's STCW certificate, medical fitness certificate, and professional liability insurance policy prior to commencement of services in France Paris. The Buyer reserves the right to reject any Marine Engineer who does not meet the specified qualifications, in which case the Supplier shall replace the Marine Engineer within seventy-two (72) hours at no additional cost to the Buyer.
3.2 Place of Performance. All services under this Purchase Order shall be performed exclusively within the administrative boundaries of France Paris, including but not limited to the Port de Paris, the Buyer's headquarters at 128 Boulevard Haussmann, and any other site within the 75000 postal code region designated in writing by the Buyer. The Marine Engineer shall comply with all local regulations, port authority directives, and safety protocols applicable in France Paris.
3.3 Payment Terms. Payment for services rendered under this Purchase Order shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-FR-2025-04782) and shall be issued in accordance with French invoicing regulations (Article 286 of the French General Tax Code). Late payments shall incur interest at the rate prescribed by French law for commercial transactions in France Paris.
3.4 Insurance and Liability. The Supplier shall maintain, at its own expense, professional indemnity insurance with a minimum coverage of €2,000,000 per occurrence and €5,000,000 in the aggregate, valid throughout the territory of France Paris and the French Republic. The Marine Engineer shall be covered under the Supplier's employer's liability insurance for the entire duration of the engagement.
3.5 Confidentiality. The Marine Engineer and the Supplier acknowledge that, in the course of performing services under this Purchase Order in France Paris, they may have access to proprietary technical drawings, operational data, and commercial information belonging to the Buyer. All such information shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the Buyer, in accordance with the French Data Protection Act and the General Data Protection Regulation (GDPR) as applicable in France Paris.
3.6 Termination. Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of material breach by the Supplier, including but not limited to the failure to provide a qualified Marine Engineer or the failure to comply with French maritime safety regulations in France Paris, the Buyer may terminate this Purchase Order immediately upon written notice. Upon termination, the Supplier shall be compensated only for services satisfactorily completed up to the date of termination.
3.7 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising out of or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris), France Paris. The parties agree to attempt mediation before initiating any formal legal proceedings.
3.8 Force Majeure. Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, government sanctions, or port closures in France Paris. The affected party shall notify the other party in writing within forty-eight (48) hours of the occurrence of such event.
