- All Marine Engineer personnel assigned under this Purchase Order shall report to the buyer's facility located at Whitefield, India Bangalore, no later than 01 July 2025. The supplier shall ensure that all Marine Engineer candidates hold valid Class IV or Class III Marine Engineer Certificates issued by the Directorate General of Shipping, Government of India, and possess a minimum of 5 years of documented sea or dockyard experience.
- The specialized Marine Engineer training program (Item 3) shall be conducted at the supplier's certified training centre in Koramangala, India Bangalore, between 15 July 2025 and 30 August 2025. The supplier shall provide all necessary laboratory equipment, simulation software, and certified Marine Engineer instructors for the duration of the program.
- Emergency on-call Marine Engineer services (Item 4) shall be activated via the buyer's 24-hour helpline. The supplier guarantees that a qualified Marine Engineer shall arrive at the designated India Bangalore waterway terminal within 4 hours of the emergency notification. Each call-out beyond the guaranteed 4 per quarter shall be billed at ₹ 25,000 per incident, subject to prior written approval under this Purchase Order.
- Annual vessel condition surveys (Item 5) shall be scheduled in consultation with the buyer's fleet operations team in India Bangalore. The supplier's Marine Engineer surveyors shall carry out inspections in accordance with the Indian Merchant Shipping Rules, 2010, and the relevant class society requirements. All survey reports shall be submitted in both hard copy and encrypted digital format to the buyer's India Bangalore head office.
- Payment shall be made within 45 days from the date of receipt of a valid tax invoice from the supplier, subject to satisfactory completion of the respective service milestones outlined in this Purchase Order.
- For the Marine Engineer employment engagements (Items 1 and 2), payment shall be made on a monthly basis in arrears, with the supplier submitting a consolidated invoice by the 5th of each month for the preceding month's services rendered in India Bangalore.
- For the Marine Engineer training program (Item 3), 50% shall be payable upon confirmation of the training schedule and 50% upon successful completion and issuance of certificates to all 15 trainees.
- All payments shall be made via NEFT/RTGS to the supplier's designated bank account in India Bangalore as specified in Section 2 of this Purchase Order. No cash payments shall be accepted.
- The supplier shall issue a valid GST invoice with the correct HSN/SAC codes for Marine Engineer services. The buyer reserves the right to withhold payment if the invoice does not conform to the terms of this Purchase Order or applicable Indian tax regulations.
- This Purchase Order is governed by the laws of India, and any disputes arising from its interpretation or performance shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
- The supplier warrants that all Marine Engineer personnel deployed under this Purchase Order shall be free from any conflict of interest, shall comply with the buyer's site safety protocols at the India Bangalore facility, and shall maintain valid medical fitness certificates as required by the Directorate General of Shipping.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall be liable only for services actually rendered up to the date of termination, and the supplier shall release all Marine Engineer personnel accordingly.
- The supplier shall maintain professional indemnity insurance of not less than ₹ 50,00,000 covering all Marine Engineer activities performed under this Purchase Order in India Bangalore. A copy of the insurance certificate shall be provided to the buyer prior to commencement of services.
- All intellectual property, survey data, and technical reports generated by the Marine Engineer team under this Purchase Order shall remain the exclusive property of the buyer. The supplier shall not reproduce, distribute, or disclose such information to any third party without prior written consent from the buyer's India Bangalore management.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the procurement of Marine Engineer services in India Bangalore.
