This Purchase Order is issued by Oceanic Shipping & Logistics Pvt. Ltd. to Meridian Marine Engineering Consultants for the engagement of a qualified Marine Engineer to provide comprehensive technical support, maintenance oversight, and operational advisory services for the buyer’s fleet of cargo vessels operating out of the Port of Mumbai, JNPT (Jawaharlal Nehru Port Trust), and the broader India Mumbai maritime corridor. The Marine Engineer shall be responsible for the following duties:
- Conducting scheduled and unscheduled inspections of main engines, auxiliary engines, boilers, and all associated mechanical systems aboard the buyer’s vessels.
- Providing technical guidance to the vessel’s chief engineer and deck crew regarding compliance with Indian Maritime Rules (IMR), International Maritime Organization (IMO) regulations, and the requirements of the Directorate General of Shipping (DGS), Government of India.
- Preparing detailed condition reports, maintenance schedules, and spare parts requisition lists for the Marine Engineer’s review and approval prior to procurement.
- Overseeing dry-docking activities and hull inspection procedures conducted at the Mumbai Dockyard facilities, ensuring all work meets the classification society standards (Lloyd’s Register / Bureau Veritas / Indian Register of Shipping).
- Advising on fuel efficiency optimization, emission control compliance (including India’s Emission Control Area regulations applicable to the Mumbai port zone), and environmental protection measures in accordance with MARPOL Annex VI.
- Maintaining a complete digital log of all engineering activities, defect reports, and corrective actions taken during the contract period.

All amounts are in Indian Rupees (INR). The above Purchase Order total is inclusive of all professional fees. Any additional services beyond the scope defined in Section 2 shall be subject to a separate written amendment to this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and the applicable maritime regulations enforced by the Directorate General of Shipping, Government of India, headquartered in New Delhi with operational jurisdiction covering the India Mumbai port region.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the supplier. The buyer shall process payments via NEFT/RTGS to the supplier’s designated bank account in Mumbai. A 1.5% monthly interest shall apply on overdue amounts as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if applicable.
- Commencement & Duration: The Marine Engineer engagement shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to mutual renewal by written agreement at least 30 days prior to expiry.
- Qualifications: The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 Marine Engineer’s Certificate of Competency (CoC) issued by the DGS, India, and possess a minimum of ten (10) years of post-qualification experience in cargo vessel engineering operations in Indian waters.
- Insurance & Liability: The supplier shall maintain comprehensive professional indemnity insurance of not less than INR 5 Crore and marine liability coverage for the duration of this Purchase Order. The supplier shall be liable for any damages arising from negligence or failure to perform duties as specified herein.
- Confidentiality: All technical drawings, engine logs, operational data, and commercial information shared in connection with this Purchase Order shall be treated as strictly confidential. The Marine Engineer shall sign a non-disclosure agreement (NDA) prior to commencing duties.
- Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of material breach, the aggrieved party may terminate with 15 days’ notice. Upon termination, the buyer shall pay for all services rendered up to the effective date of termination.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the dispute shall be referred to arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by both parties.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, war, piracy, government sanctions, port closures, or any other event beyond reasonable control, provided that the affected party notifies the other in writing within 7 days of the occurrence.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Marine Engineer in the India Mumbai maritime operations zone.
