This Purchase Order is issued by Levant Maritime & Port Authority Ltd. to formally engage the services of a qualified Marine Engineer through the supplier MMES Ltd. The Marine Engineer shall be deployed to the operational facilities located in Israel Jerusalem, specifically the Jerusalem Maritime Logistics & Inland Waterways Center at 22 King George Street, Jerusalem 94290, Israel. The scope of work encompasses the design oversight, commissioning, maintenance, and technical supervision of marine propulsion systems, auxiliary power units, and associated mechanical and electrical infrastructure that support the inland waterway transport network and port-adjacent logistics operations managed from the Israel Jerusalem headquarters.

The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer Certificate of Competency issued by the Israeli Maritime Administration (IMA), be registered with the Israel Engineers Association, and possess a minimum of ten (10) years of progressive experience in marine mechanical and electrical systems. The Marine Engineer shall report directly to the Chief Technical Officer at the Israel Jerusalem facility and shall be available on-site no fewer than five (5) days per week during the contract period.

  1. Scope of Work: The Marine Engineer services described herein are exclusively for the Israel Jerusalem operational site. Any relocation or additional site deployment requires a written amendment to this Purchase Order signed by both parties.
  2. Contract Duration: This Purchase Order covers a twelve (12) month engagement period commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 7.
  3. Compliance: The Marine Engineer personnel shall comply with all applicable Israeli labor laws, the Israeli Maritime Administration regulations, and the occupational health and safety standards enforced in Israel Jerusalem. The supplier shall maintain all necessary work permits and professional licenses valid throughout the contract term.
  4. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within forty-five (45) calendar days of receipt of a valid invoice via bank transfer to the supplier's designated account in ILS. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
  5. Performance Standards: The Marine Engineer shall maintain a system uptime rate of no less than 97% for all marine propulsion and auxiliary equipment under their supervision at the Israel Jerusalem facility. Failure to meet this standard for two consecutive months shall constitute a material breach.
  6. Confidentiality: All technical drawings, operational data, and proprietary information pertaining to the marine systems at the Israel Jerusalem site shall be treated as strictly confidential. The Marine Engineer shall sign a non-disclosure agreement prior to commencing work.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days notice. Upon termination, the supplier shall ensure an orderly handover of all Marine Engineer responsibilities and documentation.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes shall be resolved by the competent courts in Jerusalem, Israel.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Israel Jerusalem, or acts of war, provided written notice is given within 72 hours.
  10. Insurance: The supplier shall maintain professional indemnity insurance of no less than ILS 5,000,000 and public liability insurance of no less than ILS 3,000,000 for the duration of this Purchase Order, covering all Marine Engineer activities conducted in Israel Jerusalem.
NOTE: This Purchase Order is subject to final approval by the Levant Maritime & Port Authority Board of Directors. The Marine Engineer engagement in Israel Jerusalem is contingent upon the successful completion of background checks, professional reference verification, and IMA license validation for all assigned personnel. No work shall commence until all pre-conditions are satisfied and confirmed in writing.
