3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both parties. All terms herein shall be governed by the laws of the State of Israel, with jurisdiction vested in the Tel Aviv District Court.
3.2 The Marine Engineer assigned to this contract must hold a valid Class 1 or Class 2 Marine Engineer Certificate of Competency (CEC) issued under STCW 1978 (as amended) and must be registered with the Israel Maritime Administration (IMA). Proof of certification shall be submitted prior to commencement of work.
3.3 All services shall be performed at the Tel Aviv Port facilities (Pier 3 & Pier 5) or aboard the vessels listed in Section 2, as directed by the Buyer's Operations Manager. The Marine Engineer shall comply with all safety protocols established by the Israel Port Authority and the International Maritime Organization (IMO).
3.4 Payment terms: Net 30 days from the date of invoice submission. Invoices shall be issued in New Israeli Shekels (ILS) and must reference this Purchase Order number (PO-IL-TLV-2025-04782). Payment shall be made via bank transfer to the Supplier's account at Bank Hapoalim, Tel Aviv branch.
3.5 The Supplier warrants that the Marine Engineer services shall be performed in a professional, workmanlike manner consistent with industry best practices and applicable Israeli maritime regulations (Marine Safety Law, 5729-1969, and its amendments).
3.6 Any change in scope, additional vessel, or extended duration beyond the quantities stated in this Purchase Order shall require a written Change Order signed by both parties before work commences.
3.7 The Supplier shall maintain comprehensive professional liability insurance (minimum coverage of ILS 5,000,000) and workers' compensation insurance for the Marine Engineer and any supporting technicians throughout the duration of this engagement in Israel Tel Aviv.
3.8 In the event of non-performance or defective work, the Buyer reserves the right to withhold payment for the affected line items and to require corrective action within five (5) business days at the Supplier's sole expense.
3.9 All technical reports, diagnostic findings, and maintenance logs produced by the Marine Engineer under this Purchase Order shall become the property of the Buyer and shall be delivered in both hard-copy and digital (PDF) format within 48 hours of task completion.
3.10 This Purchase Order is valid for acceptance until 14 September 2025. Failure to countersign by this date shall render this document null and void without further notice.

The Marine Engineer engagement shall commence on 1 July 2025 at the Tel Aviv Port terminal. The phased delivery schedule for each vessel's maintenance window is as follows: M/V Galilee Star (1 July – 14 July 2025), M/V Dead Sea Trader (15 July – 21 July 2025), M/V Carmel Express (22 July – 31 July 2025), and Class Survey support (1 August – 15 August 2025). The 24/7 standby coverage and training sessions shall run concurrently from 1 July 2025 through 30 June 2026.

By signing below, both parties acknowledge that this Purchase Order for Marine Engineer services in Israel Tel Aviv has been reviewed, understood, and agreed upon in all respects.
