This Purchase Order is issued by Adriatic Maritime Services S.r.l. (hereinafter referred to as the "Buyer") to Posillipo Marine Engineering & Technical Solutions S.p.A. (hereinafter referred to as the "Seller") for the procurement of professional Marine Engineer services, specialized equipment, and associated technical support to be delivered and executed within the port district and industrial maritime zone of Italy Naples. This Purchase Order constitutes a binding commercial agreement upon countersignature by both parties and governs all terms, conditions, deliverables, and payment obligations related to the engagement of qualified Marine Engineer professionals for the Buyer's fleet maintenance and operational compliance programme in Italy Naples.

1. Scope of Work and Location: All services described in this Purchase Order shall be performed by qualified Marine Engineer personnel at the designated locations within the Port of Naples and the Bagnoli industrial maritime district, Naples, Italy. The Seller warrants that every Marine Engineer assigned to this contract holds a valid Class 1 or Class 2 certificate issued under the Italian Maritime Code (Codice della Navigazione, D.Lgs. 285/1992) and is registered with the Italian Chamber of Commerce for the province of Naples.
2. Delivery and Commencement: The Seller shall commence all Marine Engineer fieldwork no later than 22 June 2025. All equipment deliveries (Item 06) shall be made to the Buyer's Naples premises by 20 June 2025. The Seller shall provide a detailed work schedule to the Buyer at least five (5) business days prior to commencement.
3. Payment Terms: Payment shall be made by bank transfer (bonifico bancario) to the Seller's designated Italian bank account within thirty (30) calendar days of receipt of a valid invoice. The Buyer shall pay 30% upon acceptance of this Purchase Order, 50% upon completion of all Marine Engineer fieldwork and submission of the final technical report, and the remaining 20% upon successful verification by the Capitaneria di Porto di Napoli. All amounts are stated in Euros (EUR) and are inclusive of applicable Italian VAT at 22%.
4. Compliance and Regulatory Adherence: The Seller and all assigned Marine Engineer personnel shall comply with all applicable Italian maritime regulations, EU Directive 2009/16/EC (Port State Control), and the specific operational requirements of the Port of Naples Authority (Autorità Portuale di Napoli). Any non-compliance discovered during or after the engagement shall be rectified at the Seller's sole cost.
5. Insurance and Liability: The Seller shall maintain, at its own expense, comprehensive professional indemnity insurance of no less than 1,000,000 EUR and public liability insurance of no less than 500,000 EUR, valid throughout the duration of this Purchase Order and for a further twelve (12) months thereafter. The Seller shall indemnify and hold harmless the Buyer against any claims arising from the negligence or professional misconduct of the Marine Engineer personnel engaged under this order.
6. Intellectual Property and Documentation: All technical reports, diagnostic data, as-built drawings, and compliance certificates produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Seller shall retain copies solely for its internal quality assurance records and shall not disclose any proprietary information to third parties without the Buyer's prior written consent.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to severe weather conditions affecting the Port of Naples, government-mandated port closures, or acts of war. The affected party shall notify the other in writing within forty-eight (48) hours of the occurrence.
8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Naples, Italy. The parties agree to attempt mediation through the Naples Chamber of Commerce (Camera di Commercio di Napoli) before initiating any formal legal proceedings.
9. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice if the other party commits a material breach and fails to remedy such breach within the notice period. Upon termination, the Buyer shall pay for all Marine Engineer services satisfactorily completed up to the date of termination.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Marine Engineer services in Italy Naples. This document is executed in two (2) original counterparts, one for each party.
