SCOPE AND OPERATIONAL DETAILS

This Purchase Order is issued by Transocean Maritime Services (Côte d'Ivoire) SARL to formally authorize and request the engagement of qualified Marine Engineer personnel and associated technical services for the vessel M/V "Côte d'Ivoire Star" currently operating out of the Port of Abidjan, Ivory Coast Abidjan. The Marine Engineer personnel engaged under this Purchase Order shall be responsible for the day-to-day operation, preventive maintenance, troubleshooting, and repair of all marine engineering systems. The primary operational base for all activities under this Purchase Order shall be the Port of Abidjan, Ivory Coast Abidjan, with the possibility of short-duration transits to nearby anchorage points within the jurisdiction of the Ivorian maritime authority.

The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 or Class 2 Certificate of Competency as appropriate, a valid STCW medical certificate, and must be in possession of all necessary work permits and visas for the Republic of Côte d'Ivoire (Ivory Coast). The supplier shall ensure that the Marine Engineer is fully familiar with the specific machinery configuration of the M/V "Côte d'Ivoire Star" prior to commencing duties in Ivory Coast Abidjan. All work performed by the Marine Engineer shall comply with the International Maritime Organization (IMO) regulations, the flag state requirements, and the local maritime laws of Ivory Coast Abidjan as enforced by the Direction des Affaires Maritimes.

TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between Transocean Maritime Services (Côte d'Ivoire) SARL and Atlantic Marine Engineering & Technical Solutions Ltd. upon written acceptance by both parties. The Purchase Order shall be governed by the laws of the Republic of Côte d'Ivoire (Ivory Coast) and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  2. The Marine Engineer personnel shall commence their duties no later than 01 July 2025 at the Port of Abidjan, Ivory Coast Abidjan. Any delay in commencement beyond 14 calendar days shall entitle the buyer to terminate this Purchase Order without penalty.
  3. Payment under this Purchase Order shall be made in CFA Francs (XOF) via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-IVC-00847) and the project reference (TMS-ABJ-2025-03).
  4. The supplier shall provide full insurance coverage for the Marine Engineer personnel, including professional liability, personal accident, and medical evacuation insurance, valid throughout the duration of the contract in Ivory Coast Abidjan. Certificates of insurance shall be submitted prior to the Marine Engineer commencing work.
  5. All spare parts and consumables supplied under this Purchase Order shall be of OEM (Original Equipment Manufacturer) quality or approved equivalent. The Marine Engineer shall maintain a detailed log of all parts used, stored, and ordered during the contract period.
  6. The buyer reserves the right to inspect the work performed by the Marine Engineer at any time during the contract period. A final inspection and acceptance shall be conducted upon completion of the six-month term at the Port of Abidjan, Ivory Coast Abidjan.
  7. Any amendments, variations, or extensions to this Purchase Order must be agreed upon in writing by both parties. Verbal instructions shall not constitute a valid modification of this Purchase Order.
  8. In the event of a dispute arising from this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to arbitration in Abidjan, Ivory Coast Abidjan, in accordance with the rules of the Ivorian Chamber of Commerce.
  9. The supplier shall comply with all local labor laws, tax obligations, and regulatory requirements applicable to foreign engineering personnel working in Ivory Coast Abidjan. All applicable withholding taxes shall be deducted at source as per Ivorian fiscal law.
