3. Scope of Purchase Order

This Purchase Order is issued by Osaka Marine Industrial Group Co., Ltd. to procure the services and associated equipment of a certified Marine Engineer for deployment at the Osaka Port Maritime Operations Facility, located in Japan Osaka. The scope encompasses the full-cycle engagement of a senior Marine Engineer responsible for the maintenance, inspection, and operational oversight of the buyer's fleet of commercial vessels and offshore support units berthed at the Japan Osaka port complex. 5. Delivery and Deployment Terms

The Marine Engineer shall report for duty at the Osaka Port Maritime Operations Facility, Japan Osaka, no later than 1 August 2025. All equipment and materials listed under Item Nos. 02 through 04 shall be delivered to the same Japan Osaka location by 25 July 2025. The supplier is responsible for all logistics, customs clearance, and import duties associated with the delivery of goods to Japan Osaka. The Marine Engineer's relocation package (Item No. 05) shall be finalized and confirmed in writing no later than 15 July 2025 to ensure adequate time for visa processing and housing arrangements in Japan Osaka.

6. Payment Terms

Payment for this Purchase Order shall be made in Japanese Yen (JPY) via bank transfer to the supplier's designated account. The payment schedule is as follows: (a) 30% advance payment upon execution of this Purchase Order; (b) 40% upon confirmed arrival and onboarding of the Marine Engineer at the Japan Osaka facility; and (c) the remaining 30% upon successful completion of the 12-month contract term. All invoices must reference Purchase Order No. PO-JPO-2025-04872. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

7. Terms and Conditions
  1. This Purchase Order is governed by the laws of Japan and the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable.
  2. The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer certificate recognized by the Japan Maritime Association and must demonstrate a minimum of eight (8) years of experience in commercial vessel engineering.
  3. All work performed by the Marine Engineer at the Japan Osaka facility shall adhere to the buyer's internal safety protocols, Japan Osaka municipal regulations, and national maritime law.
  4. The supplier warrants that all equipment and materials delivered under this Purchase Order are new, free from defects, and conform to the specifications outlined in the attached technical annex.
  5. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. Upon termination, the Marine Engineer shall be repatriated at the supplier's expense, and all undelivered goods shall be returned to the supplier from Japan Osaka.
  6. Disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan, under the rules of the Japan Commercial Arbitration Association (JCAA).
  7. The supplier shall maintain full confidentiality regarding the buyer's operational data, vessel specifications, and proprietary engineering information obtained during the Marine Engineer's tenure in Japan Osaka.
  8. This Purchase Order becomes effective upon signature by both parties and remains valid until full performance of all obligations or until 14 September 2025, whichever occurs first.
8. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Marine Engineer and the procurement of associated equipment for use in Japan Osaka.
