This Purchase Order is issued by Kanto Maritime Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Marine Engineer for the duration of the Tokyo Bay Port Modernization Project. The Buyer requires the engagement of a senior Marine Engineer who shall be physically stationed and performing all duties within the metropolitan area of Japan Tokyo, specifically at the Buyer's operational facility located in the Chuo-ku district of Japan Tokyo.
The Marine Engineer engaged under this Purchase Order shall be responsible for the design oversight, structural integrity assessment, hydrodynamic analysis, and operational maintenance planning of the new automated container terminal infrastructure. All technical deliverables, site inspections, engineering reports, and on-site supervision activities must be conducted within the jurisdiction of Japan Tokyo. The Marine Engineer shall comply with all applicable Japanese maritime regulations, including those issued by the Japan Coast Guard and the Ministry of Land, Infrastructure, Transport and Tourism (MLIT) as they pertain to port engineering in the Japan Tokyo region.

4.1 Scope and Location. All services rendered under this Purchase Order shall be performed exclusively within the geographical boundaries of Japan Tokyo. The Marine Engineer shall not be required to travel outside the Japan Tokyo metropolitan area unless expressly authorized in writing by the Buyer. Any travel beyond Japan Tokyo shall be subject to a separate amendment to this Purchase Order.
4.2 Qualifications of the Marine Engineer. The Marine Engineer assigned to this Purchase Order must hold a minimum of fifteen (15) years of professional experience in marine and port engineering. The Marine Engineer must possess a valid professional engineering license recognized by the Japan Tokyo engineering regulatory body and must demonstrate prior experience with large-scale port infrastructure projects in the Japan Tokyo region or equivalent coastal environments.
4.3 Payment Terms. Payment for services rendered under this Purchase Order shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the Seller. Invoices must reference this Purchase Order number (PO-JT-2025-04872) and shall be submitted to the Buyer's accounts payable department in Japan Tokyo. Payment shall be made via bank transfer to the account designated by the Seller.
4.4 Performance and Deliverables. The Marine Engineer shall submit weekly progress reports to the Buyer's project management team in Japan Tokyo. Monthly comprehensive engineering reports shall be delivered by the fifth (5th) business day of each subsequent month. All deliverables must be submitted in both English and Japanese to satisfy Japan Tokyo municipal documentation requirements.
4.5 Termination. Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Marine Engineer shall complete all in-progress deliverables and hand over all engineering documentation to the Buyer within the Japan Tokyo facility prior to departure.
4.6 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
4.7 Insurance and Liability. The Seller shall maintain comprehensive professional liability insurance covering the Marine Engineer's activities in Japan Tokyo with a minimum coverage of JPY 500,000,000. The Marine Engineer shall also be covered under the Buyer's site-specific workers' compensation policy applicable to all personnel operating within Japan Tokyo.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Marine Engineer in Japan Tokyo. This Purchase Order constitutes a binding agreement upon execution by both authorized representatives.
