All goods and services under this Purchase Order shall be delivered to the buyer's designated site at the Almaty Inland Waterway Terminal, located at 88 Tole Bi Street, Almaty, 050039, Kazakhstan. The supplier is responsible for all logistics, customs clearance, and import documentation required to bring the Marine Engineer and associated equipment into the Republic of Kazakhstan. The Marine Engineer shall report to the site in Kazakhstan Almaty no later than 01 July 2025 and shall maintain a minimum of 200 working days of on-site presence during the 12-month contract period. Temporary residence permits and work visas for the Marine Engineer shall be facilitated by the buyer in accordance with Kazakhstani immigration law.

  1. This Purchase Order constitutes a binding agreement upon written acceptance by both parties. Any amendments to scope, pricing, or delivery schedules must be documented in a formal change order signed by authorized representatives of both the buyer and the supplier.
  2. The Marine Engineer shall comply with all applicable regulations of the Republic of Kazakhstan, including but not limited to the Code of the Republic of Kazakhstan on Subsoil, the Maritime Code provisions applicable to inland waterway operations, and occupational health and safety standards enforced by the State Labor Inspectorate of Kazakhstan.
  3. Payment shall be made via wire transfer to the supplier's designated bank account within 45 calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month.
  4. The supplier warrants that the Marine Engineer assigned to this contract possesses a minimum of 15 years of professional experience in marine propulsion, auxiliary machinery, and ballast water treatment systems, and holds a valid Class 1 Marine Engineer certificate issued by a recognized maritime authority.
  5. All equipment supplied under this Purchase Order shall carry a minimum 24-month warranty from the date of commissioning at the Kazakhstan Almaty site. The supplier shall provide spare parts and technical support throughout the warranty period.
  6. In the event of force majeure, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Kazakhstan Almaty, either party may suspend performance for a period not exceeding 90 days without penalty, provided written notice is given within 7 days of the event.
  7. Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Almaty, Kazakhstan. The governing law shall be the law of the Republic of Kazakhstan.
  8. The supplier shall maintain professional liability insurance with a minimum coverage of USD 1,000,000 for the duration of the Marine Engineer's engagement in Kazakhstan Almaty.
  9. Confidentiality: All technical drawings, operational data, and proprietary information exchanged under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without prior written consent of the disclosing party.
