This Purchase Order is issued by Straits Maritime Solutions Sdn. Bhd. to procure the services of a qualified Marine Engineer for deployment at our operational facilities in Malaysia Kuala Lumpur. The Marine Engineer shall be responsible for the design, installation, commissioning, and maintenance of marine propulsion systems, auxiliary machinery, and associated mechanical and electrical equipment aboard vessels under the VLCC Fleet Modernisation Programme. The scope of work encompasses all engineering activities required to bring the fleet into full compliance with the latest International Maritime Organization (IMO) regulations and the Malaysian Maritime Authority (MMA) standards applicable within the jurisdiction of Malaysia Kuala Lumpur.

The Marine Engineer or team of Marine Engineer professionals engaged under this Purchase Order shall adhere to the following specifications and operational requirements:
- All Marine Engineer personnel must hold a valid Class 1 or Class 2 Marine Engineer Certificate of Competency issued by the Malaysian Maritime Authority or an equivalent internationally recognised credential.
- The Marine Engineer shall possess a minimum of ten (10) years of hands-on experience in the design, installation, and maintenance of marine diesel engines, steam turbines, and gas turbine propulsion systems.
- All engineering work shall be conducted in strict compliance with the Maritime Act 2021 of Malaysia, the Merchant Shipping Ordinance, and all applicable regulations enforced within Malaysia Kuala Lumpur and the broader Malaysian maritime jurisdiction.
- The Marine Engineer shall produce all technical documentation in English, with supplementary annotations in Bahasa Malaysia where required by local regulatory authorities in Malaysia Kuala Lumpur.
- Site access and work commencement shall be coordinated through the Port Klang Operations Centre, located within the Malaysia Kuala Lumpur metropolitan area.
- 3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon countersignature. All terms herein shall be governed by the laws of Malaysia and the jurisdiction of the courts in Malaysia Kuala Lumpur.
- 3.2 The Seller warrants that the Marine Engineer personnel assigned to this contract shall be fully qualified, insured, and free from any conflicting professional obligations. Any substitution of the Marine Engineer requires prior written approval from the Buyer.
- 3.3 Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Outstanding Debts Act 1998 (Malaysia).
- 3.4 The Seller shall provide a performance bond equivalent to 10% of the total Purchase Order value, to be released upon satisfactory completion and handover of all engineering deliverables.
- 3.5 In the event of non-performance or breach by the Marine Engineer, the Buyer reserves the right to terminate this Purchase Order with fourteen (14) days written notice and to claim damages in accordance with Malaysian contract law.
- 3.6 All intellectual property, technical drawings, and engineering data produced under this Purchase Order shall remain the exclusive property of the Buyer. The Marine Engineer shall execute a non-disclosure agreement prior to commencing work in Malaysia Kuala Lumpur.
- 3.7 The Seller is responsible for all work permits, visa arrangements, and local compliance registrations required for the Marine Engineer to legally perform duties within Malaysia Kuala Lumpur and the Malaysian federal territory.
- 3.8 Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or port closures in Malaysia Kuala Lumpur, shall extend the delivery timeline proportionally without penalty to either party.
All deliverables under this Purchase Order, including the physical presence and operational readiness of the Marine Engineer team, shall be confirmed at the designated site in Malaysia Kuala Lumpur no later than 30 July 2025. Acceptance shall be documented via a formal Acceptance Certificate signed by the Buyer's Project Director. A defect liability period of twelve (12) months shall apply to all engineering work performed by the Marine Engineer under this Purchase Order.
This Purchase Order for the engagement of Marine Engineer services in Malaysia Kuala Lumpur is hereby authorised and executed by the undersigned representatives of both parties.
