This Purchase Order is issued by Pacific Maritime Solutions Ltd. to procure the services of a qualified Marine Engineer for the operation, maintenance, and technical oversight of the vessel MV Te Moana (IMO No. 9876543), a 12,500 GT bulk carrier currently berthed at the Auckland International Maritime Services Centre, Wynyard Quarter, New Zealand Auckland. The Marine Engineer shall be responsible for all mechanical, electrical, and hydraulic systems aboard the vessel in accordance with the International Maritime Organization (IMO) regulations, the Maritime Rules 1998 (New Zealand), and the standards set forth by the New Zealand Maritime Authority (NZMA).

The scope of work under this Purchase Order includes, but is not limited to: daily operation and monitoring of the main diesel engine (MAN B&W 6S50MC), auxiliary engines, boiler systems, refrigeration plant, ballast water treatment system, and all associated piping, valves, and instrumentation. The Marine Engineer shall conduct scheduled preventive maintenance in line with the vessel's Planned Maintenance System (PMS), perform statutory surveys as required by the New Zealand Maritime Authority, and ensure full compliance with the International Safety Management (ISM) Code. Additionally, the Marine Engineer shall maintain accurate engineering logs, report all defects and anomalies to the Master and the Buyer's technical superintendent, and coordinate with shore-based support teams located in New Zealand Auckland.

  1. This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the Contract and Commercial Law Act 2014 and the Maritime Rules 1998.
  2. All Marine Engineer personnel engaged under this Purchase Order must hold valid certificates of competency issued or recognised by the New Zealand Maritime Authority and must maintain current medical fitness certificates as per STCW 1978 (as amended).
  3. Payment terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly in arrears to the Buyer's accounts payable department in New Zealand Auckland. Late payments shall attract interest at the rate prescribed under the Interest on Debts Act 1997.
  4. The Supplier warrants that all Marine Engineer personnel shall be fully insured under a valid marine liability policy with a minimum cover of NZD 10,000,000 per occurrence, and that such insurance shall be maintained for the full duration of this Purchase Order.
  5. Delivery and commencement of services: The Marine Engineer team shall report for duty at the Auckland International Maritime Services Centre, Wynyard Quarter, New Zealand Auckland, no later than 0800 hours on 1 July 2025. Failure to commence within 5 business days of the agreed start date shall entitle the Buyer to terminate this Purchase Order without penalty.
  6. All work performed by the Marine Engineer shall comply with the vessel's Safety Management System, the ISM Code, and all applicable New Zealand environmental regulations, including the Clean Waters Act 2003 and the Hazardous Substances and New Organisms Act 1996.
  7. The Buyer reserves the right to audit the Supplier's records, maintenance logs, and compliance documentation at any reasonable time during the term of this Purchase Order. The Supplier shall provide full access to all engineering records maintained aboard the vessel and at the New Zealand Auckland shore office.
  8. Any variation to the scope of work, personnel, or pricing under this Purchase Order must be agreed in writing by both parties prior to implementation. Verbal instructions shall not constitute a valid variation.
  9. Disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland in accordance with the Disputes Standards Act 2017 before any litigation is commenced in the District Court of Auckland.
  10. This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the commencement date, unless terminated earlier in accordance with Clause 12 (Termination) of the Master Service Agreement between the parties.
