Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Atlantic Maritime Solutions Ltd. (hereinafter "the Buyer") and DeepSea Marine Engineering & Consultancy Ltd. (hereinafter "the Supplier") for the provision of Marine Engineer services and associated equipment at the designated port facilities in Nigeria Lagos.
  2. The Supplier shall ensure that all Marine Engineer personnel assigned under this Purchase Order hold valid certifications recognized by NIMASA, the Nigerian Ports Authority (NPA), and the relevant international classification societies. Copies of all certifications shall be provided to the Buyer prior to commencement of services.
  3. All services shall be performed in strict compliance with the Nigerian Merchant Shipping Act, NIMASA regulations, International Maritime Organization (IMO) conventions, and all applicable safety and environmental standards governing maritime operations in Nigeria Lagos waters and port areas.
  4. Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Payment shall be processed via bank transfer to the Supplier's designated account domiciled in Nigeria Lagos. Late payments shall attract interest at the rate of 1.5% per month.
  5. The Supplier warrants that all Marine Engineer personnel shall be adequately insured, including professional indemnity insurance and workers' compensation coverage as mandated by Nigerian labour law. The Supplier shall maintain a minimum professional liability cover of NGN 50,000,000.
  6. Any modification, amendment, or cancellation of this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal instructions shall not constitute a valid amendment to this Purchase Order.
  7. The Supplier shall provide a detailed monthly progress report to the Buyer, summarizing all engineering activities performed by the Marine Engineer team, parts consumed, upcoming maintenance schedules, and any recommendations for capital expenditure. Reports shall be submitted by the 5th business day of the following month.
  8. In the event of a breach of this Purchase Order by either party, the non-breaching party shall provide written notice specifying the breach and allowing fourteen (14) calendar days for cure. Failure to cure within the stipulated period shall entitle the non-breaching party to terminate this Purchase Order and seek damages.
  9. All disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). The language of arbitration shall be English.
  10. This Purchase Order is governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Nigeria Lagos shall have exclusive jurisdiction over any matters not referred to arbitration.
  11. The Supplier shall not subcontract any portion of the Marine Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
  12. All intellectual property, engineering reports, and documentation generated under this Purchase Order shall remain the exclusive property of the Buyer. The Supplier shall not reproduce, distribute, or disclose such materials to third parties without express written permission.
