This Purchase Order is issued by Arctis Marine Logistics JSC (hereinafter referred to as the "Buyer") to NordVest Engineering Solutions LLC (hereinafter referred to as the "Supplier") for the procurement and deployment of a qualified Marine Engineer to provide specialized technical services at the Buyer's operational facilities in Russia Moscow. The Marine Engineer shall be responsible for the maintenance, inspection, troubleshooting, and optimization of marine propulsion systems, auxiliary engines, hydraulic equipment, and associated mechanical and electrical infrastructure located at the Arctis River Terminal on the Moscow River, as well as the adjacent dry-dock and vessel repair bays.
The Marine Engineer engaged under this Purchase Order must hold a valid Class IV Marine Engineer's Certificate of Competency issued by the Russian Maritime Register of Shipping (RS) or an equivalent certification recognized under the STCW Convention. The professional shall possess a minimum of eight (8) years of documented experience in marine mechanical engineering, with at least three (3) years specifically in riverine and inland waterway vessel operations. Fluency in the Russian language is mandatory, as all technical documentation, safety protocols, and operational communications at the Russia Moscow facility are conducted in Russian.

- The Marine Engineer assigned under this Purchase Order shall report directly to the Buyer's Chief Technical Officer at the Russia Moscow terminal and shall comply with all applicable Russian Federal Labor Code provisions, maritime safety regulations, and site-specific health and safety protocols.
- Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-RM-2025-04872) and the applicable line item.
- The Supplier guarantees that the Marine Engineer shall maintain all required professional certifications, insurance coverage (including professional liability insurance of no less than 10,000,000 RUB), and medical fitness for marine engineering duties throughout the contract period.
- Any change in scope, additional hours beyond the contracted 168 per month, or modification of the Marine Engineer's duties shall require a written amendment to this Purchase Order signed by both parties prior to execution.
- The Supplier shall provide a replacement Marine Engineer of equivalent or superior qualifications within five (5) business days in the event of the assigned engineer's unavailability due to illness, leave, or termination.
- All intellectual property, technical reports, inspection findings, and documentation produced by the Marine Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer.
- This Purchase Order is governed by the civil law of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow.
- The Supplier shall not subcontract any portion of the Marine Engineer services without prior written consent from the Buyer.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Marine Engineer services at the Russia Moscow operational facility. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
