This Purchase Order is issued by Baltic Maritime Services LLC (hereinafter referred to as the "Buyer") to NorthSea Engineering & Technical Staffing JSC (hereinafter referred to as the "Supplier") for the procurement of qualified Marine Engineer professional services to be rendered at the Buyer's operational facilities located in Russia Saint Petersburg. This document constitutes a binding agreement between both parties and governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Marine Engineer personnel specified herein. The scope of work, compensation structure, and operational parameters are defined exclusively within the boundaries of Russia Saint Petersburg and its immediate maritime jurisdiction.

The Supplier shall provide the Buyer with the following Marine Engineer positions and associated technical services, all to be performed at the Buyer's shipyard and maintenance facilities situated in Russia Saint Petersburg:

All Marine Engineer candidates deployed under this Purchase Order must satisfy the following minimum qualifications and certifications, as mandated by the Federal Maritime Agency of the Russian Federation and applicable regulations governing maritime operations in Russia Saint Petersburg:

  • Valid STCW (Standards of Training, Certification, and Watchkeeping) certification recognized by the Russian Maritime Register of Shipping.
  • Minimum of five (5) years of documented experience as a Marine Engineer on commercial or naval vessels operating in the Baltic Sea or Northern Sea routes.
  • Proficiency in Russian language (minimum B2 level) to ensure effective communication with local port authorities, dock workers, and regulatory inspectors in Russia Saint Petersburg.
  • Valid medical fitness certificate issued by an approved maritime medical center in Saint Petersburg within the preceding twelve (12) months.
  • Completed background check and security clearance as required for access to restricted maritime zones within the Saint Petersburg port complex.
  • Specialized training in the specific engine types and auxiliary systems operated by the Buyer's fleet, as detailed in Annex A of this Purchase Order.
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and all applicable maritime regulations in force in Russia Saint Petersburg. Any disputes arising from this agreement shall be resolved through arbitration at the Arbitration Court of Saint Petersburg.
  2. Commencement Date: The Marine Engineer personnel shall report for duty at the Buyer's designated facilities in Russia Saint Petersburg no later than 01 August 2025. The Supplier bears full responsibility for the timely mobilization, travel, and onboarding of all assigned Marine Engineer staff.
  3. Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. Invoices shall be submitted monthly, and payment is due within thirty (30) calendar days of invoice receipt. A late payment penalty of 0.1% per calendar day shall apply to overdue amounts.
  4. Working Hours & Overtime: The Marine Engineer personnel shall work a standard schedule of 40 hours per week in accordance with Russian labor law. Overtime beyond this threshold shall be compensated at 1.5 times the standard hourly rate, subject to prior written approval by the Buyer's site supervisor in Russia Saint Petersburg.
  5. Insurance & Liability: The Supplier shall maintain comprehensive professional liability insurance, workers' compensation coverage, and maritime occupational hazard insurance for all Marine Engineer personnel at a minimum coverage of 10,000,000 RUB per incident. Proof of insurance shall be provided to the Buyer prior to the commencement date.
  6. Confidentiality: All Marine Engineer personnel shall execute a Non-Disclosure Agreement (NDA) prior to accessing any proprietary technical documentation, vessel schematics, or operational data belonging to the Buyer. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, including failure to provide qualified Marine Engineer personnel or repeated non-compliance with safety protocols at the Russia Saint Petersburg facilities, the Buyer reserves the right to terminate immediately without penalty.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures in Russia Saint Petersburg, or acts of war affecting the Baltic maritime region.
  9. Compliance with Local Regulations: The Supplier warrants that all Marine Engineer personnel shall comply with all federal, regional, and municipal regulations applicable to maritime engineering work in Russia Saint Petersburg, including but not limited to environmental protection standards, occupational safety directives, and port authority operational guidelines.
  10. Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or informal communications shall not constitute a valid amendment to the terms set forth herein.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of Marine Engineer services in Russia Saint Petersburg. This document is executed in two (2) original copies, one for each party.
