This Purchase Order is issued by Al-Riyadh Maritime & Industrial Services Co. Ltd. (hereinafter referred to as the "Buyer") to Gulf Marine Engineering & Consulting FZE (hereinafter referred to as the "Supplier") for the engagement of a qualified Marine Engineer to provide specialized technical services, consultancy, and operational oversight for the Buyer's maritime and port infrastructure projects located in Saudi Arabia, Riyadh and its surrounding industrial zones.

The Marine Engineer engaged under this Purchase Order shall perform all duties, inspections, consultancy, and reporting activities primarily at the Buyer's designated project sites in Saudi Arabia, Riyadh, including but not limited to the King Abdullah Economic City (KAEC) waterfront facilities, the Riyadh Industrial City marine logistics hub, and the associated port and canal infrastructure. The Marine Engineer shall be required to maintain a minimum on-site presence of five (5) working days per week at the Riyadh operational base, with additional travel to satellite sites within the Kingdom as directed by the Buyer's project management team.
The Marine Engineer must hold a valid Class 1 Marine Engineering Certificate issued or recognized by the Saudi Commission for Maritime Affairs, a minimum of ten (10) years of progressive experience in marine and coastal engineering, and full compliance with the Saudi Labor Law and the regulations governing the employment of expatriate professionals in Saudi Arabia. All work visas, Iqama (residence permit) arrangements, and professional licensing shall be the responsibility of the Supplier in coordination with the Buyer's HR department in Riyadh.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Commercial Law, the Saudi Labor Law, and all applicable regulations issued by the Saudi Ministry of Commerce and the Saudi Standards, Metrology and Quality Organization (SASO).
- Payment Terms: Payment shall be made in Saudi Riyal (SAR) via bank transfer to the Supplier's designated account in Riyadh. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days of receipt of a valid invoice and satisfactory completion of the corresponding deliverables. Late payments shall accrue interest at the rate of 1.5% per month as permitted under Saudi commercial law.
- Commencement and Duration: Services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Marine Engineer's engagement is contingent upon successful completion of all Saudi visa and work permit procedures prior to the commencement date.
- Performance Standards: The Marine Engineer shall adhere to all applicable Saudi national standards, International Maritime Organization (IMO) conventions, and the technical specifications outlined in Annex A of this Purchase Order. All deliverables must be submitted in both Arabic and English to satisfy regulatory requirements in Saudi Arabia, Riyadh.
- Confidentiality: The Supplier and the Marine Engineer shall treat all project data, design documents, and operational information as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years in accordance with Saudi data protection regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations, including payment for services rendered up to the date of termination.
- Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of SAR 5,000,000, valid throughout the Kingdom of Saudi Arabia. The Marine Engineer shall be covered under the Supplier's workers' compensation policy as mandated by Saudi labor regulations.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the Saudi Center for Commercial Arbitration (SCCA) in Riyadh, and the decision of the arbitral tribunal shall be final and binding.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, war, or epidemics, provided that the affected party notifies the other in writing within seven (7) days of the occurrence.
- Compliance with Saudi Regulations: The Supplier warrants that the Marine Engineer and all associated personnel shall comply with all Saudi Arabian laws, including but not limited to the Anti-Corruption Law, the Anti-Money Laundering Law, and the regulations of the Saudi Anti-Corruption Authority (NAZC). All work shall be conducted in full accordance with the Vision 2030 industrial and maritime development objectives of Saudi Arabia.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Marine Engineer in Saudi Arabia, Riyadh. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
